Tax Returns and Other Elections. The Manager shall cause the preparation and timely filing of all tax returns required to be filed by the Series pursuant to the Code and all other tax returns deemed necessary and required in each jurisdiction in which the Series does business. Copies of the returns, or pertinent information therefrom relating to the Series, will be furnished to the Members within a reasonable time after the end of each Fiscal Year of the Series. Except as otherwise provided herein, all elections permitted to be made by the Series under federal or state laws will be made by the Manager in its sole discretion.

Tax Returns and Other Elections. The Manager shall cause the preparation and timely filing of all tax returns required to be filed by the Company or a Series pursuant to the Code and all other tax returns deemed necessary and required in each jurisdiction in which the Company or such Series does business or is otherwise subject to taxation. Copies of the returns, or pertinent information therefrom relating to the Company or a Series, shall be furnished to the Member or Series Members, as applicable, within a reasonable time after the end of each Fiscal Year of the Company or such Series, as applicable. Except as otherwise provided herein, all elections permitted to be made by the Company or a Series under federal or state laws shall be made by the Manager in its sole discretion.

The Partnership shall also (a) provide the Partners with an estimate of their share of the Partnership’s taxable income for each fiscal year by January 31 following such fiscal year, including an estimate of state and local apportionment information and (b) cause an estimated Internal Revenue Service Schedule K-1 or any successor form to be prepared and delivered to the Partners by March 31 after the end of each fiscal year, including any appropriate state and local apportionment information. The Partnership shall bear the costs of the preparation and filing of such Partnership tax returns and forms. The Partnership shall use commercially reasonable efforts to provide, promptly following request by any Limited Partner, such other information needed for tax or accounting purposes that is reasonably requested by such Limited Partner and that relates to such Limited Partner’s ownership of the Partnership.
