Supplier Notification. Upon the discovery of an Incident by Supplier, Supplier will provide written or electronic notice to the Province’s Incident contact for the applicablePriority Levelset out in Exhibit A to this Schedule within the applicable response time set out in this Schedule, which will include a detailed description of the Incident and Supplier’s proposed categorization of the Incident by Priority Level for approval by the Province.

WBAD will negotiate terms that comply with its members’ standard supplier requirements, subject to reasonably agreeable modifications. WBAD will maintain ongoing strategic dialogues with its critical members, including Walgreens, AmerisourceBergen, Innovative Product Alignment LLC, Alliance Boots and PharMerica. Each of its members will agree to accept the terms negotiated by WBAD in accordance with the these Guiding Principles (except as otherwise set forth in this Agreement) and will provide ongoing market intelligence to WBAD to enable WBAD, as GPO, to use this information in negotiations with the manufacturers; provided that nothing contained herein shall require any member to provide market intelligence to or otherwise share information with WBAD in violation of any applicable Law or contractual commitment to confidentiality.
