Solicitation of Clients. During the Restricted Period, the Executive, directly or indirectly, including through any other person or entity, shall not seek business from any Client on behalf of any enterprise or business other than the Company, refer business generated from any Client to any enterprise or business other than the Company, or receive commissions based on sales or otherwise relating to the business from any Client, enterprise or business other than the Company. For purposes of this Agreement, the term “Client” means any person, firm, corporation, limited liability company, partnership, association or other entity (i) to which the Company sold or provided services during the 12-month period prior to the time at which any determination is required to be made as to whether any such person, firm, corporation, partnership, association or other entity is a Client, or (ii) who or which has been approached by an employee of the Company for the purpose of soliciting business for the Company and which business was reasonably expected to generate revenue in excess of $100,000 per annum.
Solicitation of Clients. For so long as Executive is employed by the Company, and for a period of one year following termination of employment, Executive shall not directly or indirectly solicit or accept business of the type conducted by the Company and/or the Group during the Term from any person or entity for whom (to the knowledge of Executive) the Company or the Group then or has, during the 12 (twelve) months preceding the date of termination, provided products and/or rendered services.
Solicitation of Clients. During the Restricted Period, the Executive shall not, directly or indirectly, including through any other person or entity, seek business from any Client on behalf of any enterprise or business other than the Company, refer business generated from any Client to any enterprise or business other than the Company, or receive commissions based on sales or otherwise relating to the business from any Client, enterprise or business other than the Company, provided that such solicitation, if successful, would have an adverse effect on the Company. For purposes of this Agreement, “Client” means any person, firm, corporation, limited liability company, partnership, association or other entity %3. to which the Company sold or provided services during the 12-month period prior to the time at which any determination is required to be made as to whether any such person, firm, corporation, partnership, association or other entity is a Client or %3. who or which has been approached by an employee of the Company for the purpose of soliciting business for the Company and which business was reasonably expected to generate revenue in excess of $100,000 per annum.
Solicitation of Clients. During the periods in which the provisions of Section 7(a) shall be in effect, the Executive, directly or indirectly, will not seek nor accept Prohibited Business from any Client (as defined below) on behalf of any enterprise or business other than the Company, refer Prohibited Business from any Client to any enterprise or business other than the Company or receive commissions based on sales or otherwise relating to the Prohibited Business from any Client, or any enterprise or business other than the Company. For purposes of this Agreement, the term “Client” means any person, firm, corporation, partnership, association or other entity to which the Company or any of its affiliates sold or provided goods or services during the 24-month period prior to the time at which any determination is required to be made as to whether any such person, firm, corporation, partnership, association or other entity is a Client, or who or which was approached by or who or which has approached an employee of the Company for the purpose of soliciting business from the Company or the third party, as the case may be.

During the Restricted Period, the Executive shall not, directly or indirectly, including through any other person or entity, seek business from any Client on behalf of any enterprise or business other than the Company, refer business generated from any Client to any enterprise or business other than the Company, or receive commissions based on sales or otherwise relating to the business from any Client, enterprise or business other than the Company, provided that such solicitation, if successful, would have an adverse effect on the Company. For purposes of this Agreement, the term “Client” means any person, firm, corporation, limited liability company, partnership, association or other entity (i) to which the Company sold or provided services during the twelve-month period prior to the time at which any determination is required to be made as to whether any such person, firm, corporation, partnership, association or other entity is a Client, or (ii) who or which has been approached by an employee of the Company for the purpose of soliciting business for the Company and which business was reasonably expected to generate revenue in excess of $100,000 per annum.
Solicitation of Clients. For a period of seven (7) years from the ----------------------- date hereof, whether or not Employee is employed by Company, Employee will not solicit for the benefit of any Person other than Company, Clients for the purpose of providing services identical to or competitive with the Business.
Solicitation of Clients. During the Term of this Agreement and, if the Executive's employment under this Agreement is terminated for any reason, for two years after the date of such termination, the Executive shall not, directly or indirectly, solicit, entice or induce any Client (as defined in Section 6.5) of the Company to become a Client of any Person other than the Company, or to modify, curtail or cease its business with the Company, and the Executive will not assist any Person in taking any such action.
Solicitation of Clients. During the periods in which the provisions of Section 7(a) shall be in effect, the Executive, directly or indirectly, including through any Affiliated Entity, shall not seek Prohibited Business from any Client on behalf of any enterprise or business other than the Company, refer Prohibited Business generated from any Client to any enterprise or business other than the Company or receive commissions based on sales or otherwise relating to the Prohibited Business from any Client, enterprise or business other than the Company. For purposes of this Agreement, the term "Client" means any person, firm, corporation, limited liability company, partnership, association or other entity (i) to which the Company sold or provided Services in excess of $100,000 during the 24-month period prior to the time at which any determination is required to be made as to whether any such person, firm, corporation, partnership, association or other entity is a Client, or (ii) who or which has been approached by an employee of the Company for the purpose of soliciting business for the Company and which business was reasonably expected to generate revenue in excess of $100,000.
Solicitation of Clients. I agree that at no time during the term of this Agreement or for one year after its termination will I, directly or indirectly, without the Company's consent, attempt to solicit, by mail, phone, personal meeting, or any other means, any Client (other than my spouse or a member of my family) whose Account I serviced or whose name became known to me during my affiliation with the Company: (i) to transfer his or her Account to any other broker-dealer or financial services firm; (ii) to open a new account with any other broker-dealer or financial services firm; or, (iii) to close his or her Account, liquidate Authorized Products, or otherwise discontinue his or her association with the Company and its products. I understand and agree that the prohibitions on solicitation of Clients apply whether the Clients are obtained through my own efforts or as the result of reassignments of house accounts, seminars, advertising, or other means. I understand that, while I may develop Clients from contacts with friends and acquaintances that I may have had prior to my affiliation with the Company, in doing so I will be using the Company's name, good will, and resources.
Solicitation of Clients. (i) It is a condition subsequent of this Agreement that, during the Restricted Period, you shall not, directly or indirectly, for your own account or as proprietor, stockholder, member, partner, director, officer, employee, agent or otherwise for or on behalf of any person, business firm, corporation, partnership or other entity, sell, offer to sell, or contact or solicit any business from any person, corporation or other entity which is a customer of the Company or its affiliates for the purpose of assisting, facilitating or encouraging, in any way, any such customer to transfer any business from Company and/or its affiliates, whether by termination, non-renewal or otherwise. For purposes of this Agreement, “customers” of the Company and its affiliates mean and include (A) any and all persons, businesses, corporations, partnerships, or other entities which have done business with the Company or its affiliates as a customer or have preexisting business relationships and/or dealings with you when your employment with the Company terminated and (B) all persons, businesses, corporations, partnerships or other entities which control any such customer.
