Seller Facilities. There are no material investigations, proceedings or complaints, formal or informal, pending or overtly threatened against Seller or any of the Affiliated Seller Entities in connection with any facilities currently or formerly operated by Seller or any of the Affiliated Seller Entities under the federal Americans With Disabilities Act or any other local, state or federal law concerning accessibility for individuals with disabilities.

Seller Facilities. To the best knowledge of the Representing Persons, there are no material investigations, proceedings or complaints, formal or informal, pending or overtly threatened against Seller or any of the Affiliated Seller Entities in connection with any facilities currently or formerly operated by Seller or any of the Affiliated Seller Entities under the federal Americans With Disabilities Act or any other local, state or federal law concerning accessibility for individuals with disabilities.
Seller Facilities. As requested by Purchaser, the Selling Entities shall provide Purchaser with substantially the same use of owned real estate, leasehold interests, and the facilities thereon and the shared office equipment, furniture and supplies ("Seller Facilities") at the locations specified in Exhibit A as the Selling Entities made available to the Business immediately prior to the date hereof. Purchaser may only use the Seller Facilities to conduct the Business in the manner in which it was being conducted immediately prior to the date hereof. Subject to Section 2.2 below, Purchaser, with respect to its use of Seller Facilities, shall pay the applicable monthly rent for each of the Seller Facilities at the rate set forth in Exhibit A, which rates include normal utilities and taxes. Selling Entities' obligation to provide Purchaser the use of Seller Facilities shall terminate SIX (6) MONTHS after the Agreement Date. Purchaser shall leave the Seller Facilities in substantially the same condition as existed on the date hereof with fair wear and tear excepted.
Seller Facilities. The Seller Principal Facility is leased from Landlord pursuant to the Lease. The Lease is in full force and effect, with no uncured defaults and with no acts or omissions having occurred which, but for the passing of time or giving of notice, would constitute a default. In accordance with Section 7 of the Lease, Landlord has consented in writing to the assignment of the Lease from Seller to Buyer, effective as of the Closing. Each of the Seller Satellite Facilities is leased pursuant to a written lease, a copy of which has been delivered to Buyer. Each of said leases is in full force and effect, with no uncured defaults and with no acts or omissions having occurred which, but for the passing of time or giving of notice, would constitute a default.

  • BUYER'S FACILITIES 1. Buyer will maintain at its own expense facilities from the delivery point to the point of use and the burners and equipment for using gas, and Buyer will at all times keep gas-using equipment on said premises in a condition conforming with such reasonable rules and regulations as may be prescribed therefore by regulatory authority having jurisdiction thereover and with the requirements of any valid law thereto appertaining. In the event that rules are not prescribed by a regulatory authority, Buyer will abide by codes as used in the gas industry.

  • Other Facilities This Agreement reserves in each party the power to establish a temporary holding facility during a pandemic, riot, civil disobedience or natural disaster, to establish group homes or other care or rehabilitation facilities in furtherance of a social service program, to temporarily transfer Inmates to alternative detention facilities in order to respond to Xxxx overcrowding, a public health directive, or to comply with a final order of a federal court or a state court of record for the care and treatment of Inmates.

  • TEACHER FACILITIES A. Each school shall have the following facilities:

  • Interconnection Facilities 4.1.1 The Interconnection Customer shall pay for the cost of the Interconnection Facilities itemized in Attachment 2 of this Agreement. The NYISO, in consultation with the Connecting Transmission Owner, shall provide a best estimate cost, including overheads, for the purchase and construction of its Interconnection Facilities and provide a detailed itemization of such costs. Costs associated with Interconnection Facilities may be shared with other entities that may benefit from such facilities by agreement of the Interconnection Customer, such other entities, the NYISO, and the Connecting Transmission Owner.

  • Underground Facilities All underground pipelines, conduits, ducts, cables, wires, manholes, vaults, tanks, tunnels, or other such facilities or attachments, and any encasements containing such facilities, including without limitation those that convey electricity, gases, steam, liquid petroleum products, telephone or other communications, cable television, water, wastewater, storm water, other liquids or chemicals, or traffic or other control systems.

  • Existing Facilities Each of the Existing Facilities shall be repaid in full and terminated and all collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

For all wind-powered and other non-synchronous generation facilities entering the New Service Queue on or after November 1, 2016, the power factor requirement shall be measured at the high-side of the facility substation transformers. This power factor range standard shall be dynamic and can be met using, for example, power electronics designed to supply this level of reactive capability (taking into account any limitations due to voltage level, real power output, etc.) or fixed and switched capacitors, or a combination of the two. For all wind-powered and other non-synchronous generation facilities entering the New Service Queue on or after May 1, 2015, and before November 1, 2016, the power factor requirement shall be measured at the generator’s terminals. For new generation resources of more than 20 MW, other than wind- powered and other non-synchronous Generating Facilities, the power factor requirement shall be measured at the generator’s terminals. For new generation resources of 20 MW or less, and all wind-powered and other non-synchronous generation facilities entering the New Service Queue prior to May 1, 2015, the power factor requirement shall be measured at the Point of Interconnection. Any different reactive power design criteria that Transmission Provider determines to be appropriate for a wind-powered or other non-synchronous generation facility shall be stated in the Interconnection Service Agreement. A Transmission Interconnection Customer interconnecting Merchant D.C. Transmission Facilities and/ or Controllable A.C. Merchant Transmission Facilities shall design its Customer Facility to maintain a power factor at the Point of Interconnection of at least 0.95 leading and 0.95 lagging, when the Customer Facility is operating at any level within its approved operating range.
