REPLACEMENTS AND SPARE PARTS. 4.1 In performing the Maintenance Services, Avoira shall use reasonable endeavours to source spare parts (whether new or pre-used) required to restore the Maintained Equipment to Good Working Order. Where Avoira can reasonably source individual spare parts, Avoira shall have the right to charge the Customer for the spare parts.

K3 may charge the Customer for spare parts not provided free under manufacturer’s warranty. Any component of the Supported Hardware may be replaced on a temporary or permanent basis by a component of substantially equivalent functionality. All replacement components provided by K3 on a permanent basis shall become part of the Supported Hardware and the property of the Customer. Provisions in the Agreement relating to the supply of Hardware shall apply to any such components. All components removed from the Supported Hardware shall no longer constitute part of the Supported Hardware and will be the property of K3.

REPLACEMENTS AND SPARE PARTS. 4.1 In performing the Support Services and the Additional Services, where the Supported Equipment is inside of any applicable and valid warranty period, the Supplier shall use all reasonable endeavours to source spare parts required to restore the Supported Equipment to Good Working Order or to facilitate the manufacturer’s warranty. The Supplier shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from the manufacturer’s failure or delay to implement any applicable and valid warranty. Where the Supported Equipment is outside of any applicable warranty period, the Supplier shall not be obliged to source spare parts however where it does so, the Supplier shall have the right to charge the Customer for the spare parts. The amounts owed pursuant to this Paragraph 4.1 shall be invoiced in accordance with Clause 12.10 and shall be payable by the Customer in accordance with Clause 12.
