Repayment for Failure to Meet Academic Requirements or Service Obligation. The Xxxxx award will be considered a loan that must be repaid according to the terms of this Note (a) if the Recipient fails to satisfy the academic requirements of the academic program for which the Xxxxx funds were awarded; or (b) if the Recipient fails to complete the service requirement, or (c) if the Recipient does not receive a waiver or suspension of the service obligation (Section II G), or (d) if the Recipient fails to provide adequate documentation for a deferment (as described in Section IV E). If the scholarship Recipient does not fulfill their service obligation within eight (8) years by teaching two years in a high-need local educational agency for each year they received scholarship support, the Recipient becomes obligated to fully repay the scholarship. If the scholarship Recipient withdraws from WSC prior to graduation or fails to meet the other academic requirements of the scholarship, the Recipient becomes obligated to start repayment of the scholarship within 31 days after (a) their withdrawal from WSC or (b) their graduation from WSC without meeting all academic requirements of the scholarship. The Recipient has twenty-four (24) months following graduation from the WSC undergraduate program or completion of the WSC post-baccalaureate program to begin teaching in a high-need school or else repayment of the scholarship will start, unless the Recipient receives a waiver or suspension of service obligation (Section II G) or the Recipient qualifies for a deferment (Section IV E). If upon graduation from WSC and obtaining a teaching license, the scholarship Recipient teaches in a high-need local educational agency for a period that is less than the period of their service obligation, the Recipient becomes responsible for repayment of the percentage of the period for which the service obligation was not fulfilled. Example: An individual receives a scholarship in the total amount of $21,500 to attend WSC for 3 semesters (=1.5 academic years). The individual graduates from WSC and works in a high-need local educational agency for two full school years. The individual then moves and takes a teaching position in a school district that is not high need. If the individual remains in the district that is not high-need, then eight (8) years after graduation, the individual has fulfilled two-thirds (2/3) of their service obligation and so must repay one-third (1/3) of the scholarship.   • OUR LIABILITY FOR FAILURE TO STOP PAYMENT If You order Us to place a stop payment on one of Your pre-authorized payments 3 business days or more before the transfer is scheduled, and We do not do so, We will be liable for losses or damages, to the extent provided by law. However, we will not be liable for direct or consequential damages in the following events: - If, through no fault of ours, there is not enough money in your accounts to complete the transaction, if any funds in your accounts necessary to complete the transaction are held as uncollected funds pursuant to our Funds Availability Policy Disclosure, or if the transaction involves a loan request exceeding your credit limit. - If you used your card or access code in an incorrect manner. - If the ATM where you are making the transfer does not have enough cash. - If the ATM was not working properly and you knew about the problem when you started the transaction. - If circumstances beyond our control (such as fire, flood, or power failure) prevent the transaction. - If the money in your account is subject to legal process or other claim. - If funds in your account are pledged as collateral or frozen because of a delinquent loan. - If the error was caused by a system of any participating ATM network. - If the electronic transfer is not completed as a result of your willful or negligent use of your card, access code, or any EFT facility for making such transfers. - If the telephone or computer equipment you use to conduct audio response, online/PC, or mobile banking transactions is not working properly and you know or should have known about the breakdown when you started the transaction. - If you have xxxx payment services, we can only confirm the amount, the participating merchant, and date of the xxxx payment transfer made by the Credit Union. For any other error or question you have involving the billing statement of the participating merchant, you must contact the merchant directly. We are not responsible for investigating such errors. - Any other exceptions as established by the Credit Union.

  • Failure to Make Good a Deficiency If the Contractor does not make good a deficiency within a reasonable space of time fixed in a Notice of Non-Compliant Work, the Owner may do any of the following:

In addition, if the Recipient or any of its employees or agents are required (by oral questions, interrogatories, requests for information, or documents in legal proceedings, subpoena, civil investigative demand, or other similar process) to disclose any of Discloser’s Confidential Information, the Recipient will not disclose the Discloser’s Confidential Information without providing the Discloser with commercially reasonable advance prior written notice to allow Discloser to seek a protective order or other appropriate remedy or to waive compliance with this provision. In any event, the Recipient will exercise its commercially reasonable efforts to preserve the confidentiality of the Discloser’s Confidential Information, including, without limitation, cooperating with Discloser to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded to the Confidential Information.
