Relationship between Consultant and Client. Xxxx Xxxxxxxx, Inc. (“Consultant”) shall serve as the Client's professional consultant in those phases of the Project to which this Agreement applies. The relationship is that of a buyer and seller of professional services and it is understood that the parties have not entered into any joint venture or partnership with the other. Consultant shall not be considered to be the agent or fiduciary of the Client.
Relationship between Consultant and Client. The relationship of Consultant to Client under this Agreement shall be that of independent contractor. No provision of this Agreement is intended to or shall be construed as creating an employment, mutual agency, joint venture, partnership or other fiduciary relationship between the parties hereto, or as entitling Consultant or any of his employees, agents, business associates, or Affiliates to any compensation or benefits as an employee (whether in the nature of salary, wages, insurance, worker’s compensation, bonuses or otherwise) or in the nature of a finder’s fee, participation or any other compensation whatsoever from Client, except as expressly provided in this Agreement.
Relationship between Consultant and Client. 7.1 Except as otherwise provided herein, each party’s relationship to the other party shall be that of an independent contractor retained by a client. Each party to this Agreement and any representative, employee, Consultant, subsidiary, director or officer of each party shall, in the performance of this Agreement, comply with all applicable laws and regulations and shall not employ for any consideration any government official or entity or make any payment to any third person without prior disclosure to the other party.
