Pricing and Reimbursement Approvals. (a) Schering shall be responsible for obtaining and maintaining any pricing and reimbursement approvals required for the sale by Schering of the Product in each country in the Territory. In the EU, ICN shall be responsible for ICN's pricing and reimbursement approvals and structure. Schering shall use its reasonable efforts to diligently obtain pricing and reimbursement approvals for the Product in each country within the Territory throughout the Exclusive Period, except as provided in the last sentence of Section 4.1. Schering shall undertake reasonable efforts, including additional studies of the type contemplated under Section 3.1(c), to diligently maximize the opportunities to obtain commercially reasonable pricing for the Product in each country in the Territory by the time of initial launch of the Product in such country. Such efforts shall be commensurate with those efforts used for its other products of similar potential, value and status in such country or, if Schering has no comparable product in such country, a comparable country in the Territory.
Pricing and Reimbursement Approvals. Sanofi-Aventis and its Affiliates shall have sole responsibility in the conduct of all pricing and reimbursement approval proceedings relating to each Product.

Pricing and Reimbursement Approvals. Xxxxxx shall be responsible for obtaining, and undertakes to obtain using its Commercially Reasonable Efforts, and maintaining all regulatory, administrative, and third party payor-related activities relating to pricing and reimbursement approvals for the A1PI IV Product in the Xxxxxx Territory (and any country therein). For the avoidance of doubt, the foregoing shall not require Xxxxxx to seek pricing and/or reimbursement approvals other than in connection with the exercise of Xxxxxx’x rights and obligations under Section 11.1(c). Xxxxxx shall use its Commercially Reasonable Efforts to obtain any such approvals for the United States promptly after the Execution Date. Xxxxxx shall have the right to consult with Kamada on the planning and development of all documentation with respect thereto and Kamada shall use Commercially Reasonable Efforts to cooperate with Xxxxxx’x efforts in this regard. Xxxxxx shall provide to Kamada for review and approval copies of any proposed submission at least [*****] business days prior to such submission. All such approvals shall be obtained in the name of Xxxxxx. Upon termination, but not expiration under Section 15.1, of this Agreement, unless Xxxxxx terminates the Agreement pursuant to Section 15.2(a), 15.2(b) or 15.2(c), Xxxxxx shall promptly assign or cause to be assigned to Kamada all rights and data associated with all regulatory, administrative, and third party payor-related activities relating to pricing and reimbursement approvals that Xxxxxx or any of its Affiliates owns and/or has developed in a country within the Xxxxxx Territory with respect to such country.
Pricing and Reimbursement Approvals. BMS and its Affiliates shall take the lead in all pricing and reimbursement approval proceedings relating to each Product in the Royalty Territory, and BMS shall have decision-making authority with respect to Product pricing in the U.S.
Pricing and Reimbursement Approvals. E-Z-EM shall be responsible for obtaining any Pricing and Reimbursement Approvals that are required to obtain Marketing Authorizations.
Pricing and Reimbursement Approvals. Notwithstanding anything to the contrary in this Agreement, (i) Xxxxxxx or its Affiliate shall be responsible for and have the exclusive right to seek and attempt to obtain pricing and reimbursement approvals for the Licensed Products in the Field in the Xxxxxxx Territory, at Xxxxxxx’x expense, and (ii) Xxxxxxx shall be responsible for and have the exclusive right to seek and attempt to obtain pricing and reimbursement approvals for the Licensed Products in the Field in the Xxxxxxx Territory, at Minerva’s expense.
Pricing and Reimbursement Approvals. Xxxxxxx shall be responsible for and have the exclusive right to seek and attempt to obtain pricing approvals and reimbursement approvals from Governmental Authorities for the Products in the Field in the U.S. and Xxxxxxx Territory [***]. Xxxxxxx shall keep Legend reasonably informed with regard to any pricing or reimbursement approval proceedings for the Product in the Field in the U.S. or Xxxxxxx Territory. Legend shall be responsible for and have the exclusive right to seek and attempt to obtain pricing approvals and reimbursement approvals from Governmental Authorities for the Products in the Field in Greater China [***]. Legend shall keep Xxxxxxx reasonably informed with regard to any pricing or reimbursement approval proceedings for the Product in the Field in Greater China.
Pricing and Reimbursement Approvals. Licensee shall take the lead in all pricing and reimbursement approval proceedings relating to the Licensed Product in the Licensee Territory; provided that GPC Biotech shall have the right to have one (1) representative attend all meetings with Regulatory Authorities relating to pricing and reimbursement approvals strictly as a silent observer, but only if GPC Biotech’s presence is permitted by the relevant Regulatory Authority and is not otherwise prohibited by Applicable Law. Licensee shall provide GPC Biotech with reasonable advance notice of all such meetings and advance copies of all related documents (including documents to be submitted in connection with pricing and reimbursement approvals) and other relevant information relating to such meetings.
Pricing and Reimbursement Approvals. BMS will be solely responsible for all pricing and reimbursement approval proceedings relating to the Co-Developed Product in the Cancer Territory. Alder will be solely responsible for all pricing and reimbursement approval proceedings relating to the Co-Developed Product in the Alder Cancer Territory.
