Perquisites and Expenses. The Executive shall be reimbursed for all reasonable out of pocket expenses incurred in the course of his employment, upon providing reasonable substantiation and appropriate receipts for such expenditures.

Executive shall be entitled to reimbursement for business expenses, including travel and entertainment; PROVIDED, that such reimbursement shall be limited to reasonable and necessary expenses incurred by Executive in connection with the performance of duties on behalf of the Company subject to: (i) timely submission of a properly executed Company expense report form accompanied by appropriate supporting documentation, and (ii) compliance with Company policies and procedures governing business expense reimbursement and reporting based upon principles and guidelines established by the Audit Committee of the Board, including periodic audits by the Internal Audit Department of the Company and/or the Audit Committee of the Board.

(a) During the Employment Term, any travel, including use of the Partnership’s leased or owned aircraft, will be on the same basis and manner as travel by the CEO and President of the Company. You will be entitled to use the aircraft for a minimum of 100 hours per year, unless the Partnership ceases to lease or own an aircraft.
Perquisites and Expenses. 4.1 The Company shall provide the Executive with an annual flexible pre-tax perquisite of Canadian $5,000. Any tax which may be applicable to this payment shall be paid by the Executive.

To the extent that any expense reimbursements payable pursuant to this Agreement are subject to the provisions of Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”), any such reimbursements payable pursuant to this Agreement shall be paid no later than December 31 of the year following the year in which the expense was incurred, the amount of expenses reimbursed in one year shall not affect the amount eligible for reimbursement in any subsequent year, and the right to reimbursement under this Agreement will not be subject to liquidation or exchange for another benefit.

During the term of your employment, you will be entitled to perquisites, including use of the Partnership’s leased or owned aircraft, on the same terms and conditions as other senior executives, and you will also be entitled to the services of a chauffeur in connection with your services to the Company and the Partnership. Perquisites and Expenses. 1) The Employees shall be reimbursed by Rosedale for all reasonable business and promotional expenses incurred in connection with the employment of the Employee provided for hereunder. Rosedale's obligation to so reimburse the Employee for expenses shall be subject to the presentation to Rosedale by the Employee of an itemized monthly account of such expenditures together with supporting vouchers in accordance with Rosedale's policies as in effect from time to time.

During the Employment Period, at the Partnership’s expense of an amount not to exceed $15,000 per year, you shall be entitled to standard senior executive officer perquisites, including but not limited to, reimbursement of certain costs of income tax preparation and a gym membership. During the Employment Period, you shall also be entitled to the use of your current automobile and the services of your regular chauffeur during your business hours or otherwise in connection with your services to the Company and the Partnership. If, during the Employment Period, your automobile or chauffeur is unavailable for any reason and you need an automobile or chauffeur in connection with the performance of your services to the Company and the Partnership, the Partnership will use its best efforts to provide you with another automobile or chauffeur, as the case may be. During the Consulting Period, you shall be reimbursed in an amount of up to $90,000 per year, which shall be used to cover any costs incurred by you in leasing another automobile and hiring another chauffeur. If you should die or become disabled during the Employment Period, your spouse for the remainder of the Employment Period, shall be entitled to the use of your automobile and the services of your regular chauffeur during her business hours or otherwise in connection with her services to the Partnership. During the Employment Period, any travel by you in connection with the performance of your duties hereunder or the business of the Partnership or the Funds shall be on the same basis and manner as travel by current members of the Executive Committee. In addition, during the Employment Period in furtherance of your duties hereunder, you shall continue to have the use of the Partnership’s aircraft under terms and conditions as determined by the Executive Committee from time to time. The Partnership or the Funds, as the case may be, shall reimburse you for all reasonable business-related expenses incurred by you during the Employment Period, in accordance with the Partnership’s or the Fund’s policies and procedures.
