Benefits; Expenses. During the Term, the Company shall provide Executive and his dependents with medical insurance and such other cash and noncash benefits, on the same terms and conditions, as amended from time to time, as are generally made available by the Company to its full-time executive officers. Executive shall be entitled to four (4) weeks of paid vacation per year. The Company shall pay, or reimburse Executive for, all business expenses incurred by Executive which are related to the performance of Executive's duties, subject to timely submission by Executive of payment or reimbursement requests and appropriate documentation, in accordance with the Company’s reimbursement policies.

The Executive, together with his spouse and dependent children, shall be permitted, to the extent eligible, to participate at the Company's expense in any group medical, dental, life insurance and disability insurance plans, or similar benefit plans of the Company that are available to other executive officers in each case pursuant to the terms and conditions of each such plan or program. The Executive shall also be entitled to four (4) weeks' annual vacation. Without limiting the generality of the foregoing, the Company shall reimburse the Executive for all reasonable business and travel expenses actually incurred or paid by the Executive in the performance of services on behalf of the Company, in accordance with the Company's expense reimbursement policy as in effect from time to time.

(a) Throughout the term of this Agreement and as long as they are kept in force by Company, Employee shall be entitled to participate in and receive the benefits of any profit sharing or retirement plans and any health, life, accident or disability insurance plans or programs made available to other similarly situated employees of Company, subject to all of the terms and conditions of such plans and programs.

Employee shall be entitled to such expense accounts, vacation time, sick leave, perquisites of office, fringe benefits, insurance coverage and other terms and conditions of employment as Company generally provides to its employees having rank and seniority at Company comparable to Employee, as the same may be changed from time to time. (a) During the term of his employment, the Employee shall be entitled to participate in employee benefit plans or programs of the Company, provided that they should conform to the benefits which are now offered to the Employee in his current position, if any, to the extent that his position, tenure, salary, age, health and other qualifications make him eligible to participate, subject to the rules and regulations applicable thereto. Such additional benefits shall include, subject to the approval of the Board of Directors, medical and dental insurance, paid vacation and qualified pension and profit sharing plans.

Executive shall be permitted, to the extent ------------------ eligible, to participate in the employee benefit plans and programs maintained by the Company and offered to employees of comparable position, including without limitation retirement plans, savings and profit sharing plans, stock option, incentive or other bonus plans, group medical, dental, life, disability and other insurance plans and other similar benefit plans of the Company, subject in each case to the generally applicable terms and conditions of the applicable plan or program and to the determination of the Company or any committee administering such plan or program. The Company shall reimburse Executive for all reasonable business and travel expenses actually incurred or paid by Executive in the performance of Executive's services on behalf of the Company, in accordance with the Company's expense reimbursement policy as in effect from time to time.

During the Term, the Executive (i) shall be entitled to such health, medical, insurance and fringe benefits as are available generally to similar-level employees of the Company (or their counterparts at Direct Insite); and (ii) shall be reimbursed for all reasonable and necessary expenses incurred in connection with the business of the Company, upon the submission of appropriate documentation with respect thereto.
Benefits; Expenses. (a) The Employee shall be entitled to receive the same standard employment benefits as other executives of the Employer receive. The Employee shall be entitled to fully participate in all of the Employer's future employee benefit programs in accordance with their then-existing terms. The Employee shall be entitled to reimbursement for all approved reasonable travel and other business expenses incurred by the Employee in connection with his services to the Employer pursuant to the terms of this Agreement. All business expenses for which the Employee seeks reimbursement from the Employer shall be adequately documented by the Employee in accordance with the Employer's procedures covering expense reimbursement and in compliance with the regulations of the U.S. Internal Revenue Service.

(a) During the Employment Period, Executive shall be entitled to participate in all employee benefit plans sponsored by the Company for its executive employees, including, but not limited to, Executive Health Benefits, health and dental insurance, term life insurance in the amount of two (2) million dollars, and disability insurance.
