NONCOMPETE/CONFIDENTIALITY. KAR agrees that (a) it shall and shall cause each of its officers, directors, shareholders, equity owners, family members of any of the foregoing and any entity in which it or any of the foregoing persons shall directly or indirectly own equity interests (collectively, the "Noncompete Parties"), to comply with each of the noncompetition and confidentiality provisions set forth in the Development Documents to the same extent as if any of such Noncompete Parties was the Project Company thereunder, each of which provisions are hereby incorporated by reference, and (b) in addition to the foregoing, that it shall not and shall cause each of the other Noncompete Parties to not directly or indirectly solicit or enter into any consulting, brokerage, management, financing or other similar agreement with any Indian tribe with respect to its gaming enterprise or with any party seeking such an agreement with such an Indian tribe or other gaming enterprise, related to a gaming enterprise located or to be located (i) within any area south of the city limits of Escondido, California, and/or (ii) within a fifty (50) mile radius of each of the Jamul Tribe's gaming enterprise. The Project Company acknowledges and agrees that neither Argovitz nor Xxxx have the ability to control what the other individual may do in the future.

NONCOMPETE/CONFIDENTIALITY. Unless otherwise agreed to by the Tribe, Xxxx agrees that (a) he shall and shall cause each entity in which he shall directly or indirectly own any equity interests (or if such entity is a publicly traded entity, any such entity in which he owns at least 10% of the outstanding voting equity interests), together with any officers, directors, equity owners, employees and agents of such entity (collectively, the "Noncompete Parties"), to comply with each of the noncompetition and confidentiality provisions set forth in the Development Documents to the same extent as if any of such Noncompete Parties was the Project Company thereunder, each of which provisions are hereby incorporated by reference, and (b) in addition to the foregoing, that he shall not and shall cause each of the other Noncompete Parties to not directly or indirectly solicit or enter into any consulting, brokerage, management, financing or other similar agreement with any Indian tribe with respect to its gaming enterprise or with any party seeking such an agreement with such an Indian tribe or other gaming enterprise, related to a gaming enterprise located or to be located (i) within any area in the State of California south of the city limits of Escondido, California.
NONCOMPETE/CONFIDENTIALITY. Argovitz agrees that (a) he shall and shall cause each of his family members and any entity in which he or any of the foregoing persons shall directly or indirectly own equity interests together with any officers, directors and equity owners of such entity (collectively, the "Noncompete Parties"), to comply with each of the noncompetition and confidentiality provisions set forth in the Development Documents to the same extent as if any of such Noncompete Parties was the Project Company thereunder, each of which provisions are hereby incorporated by reference, and (b) in addition to the foregoing, that he shall not and shall cause each of the other Noncompete Parties to not directly or indirectly solicit or enter into any consulting, brokerage, management, financing or other similar agreement with any Indian tribe with respect to its gaming enterprise or with any party seeking such an agreement with such an Indian tribe or other gaming enterprise, related to a gaming enterprise located or to be located (i) within any area south of the city limits of Escondido, California, and/or (ii) within a fifty (50) mile radius of each of the Jamul Tribe's gaming enterprises.
NONCOMPETE/CONFIDENTIALITY. (a) If the Executive's employment terminates by reason of voluntary resignation (including an Involuntary Termination) or for Cause, Executive for a period of one (1) year after such termination, will not (i) solicit, accept or perform directly or indirectly any work with, nor will Executive, directly or indirectly, engage in, undertake planning for or organization of, or have any interest in (whether as an employee, officer, director, agent, security holder, consultant, investor or similar position) any individual, entity or organization that is engaged in the design, development, provision or sales and marketing of any products or services which directly compete with the Company's business, including, without limitation, any product for the creation, compression, storage, retrieval or analysis of relational databases or any other data warehousing, data mining and business intelligence products, or any products that the Executive was directly engaged in with the Company (collectively "Restricted Business"), or (ii) (A) solicit for employment or other engagement any person who is employed by the Company or (B) induce or influence, any person who is employed by the Company or may be so employed by the Company during the one year period following your termination, to terminate his or her employment with the Company, without prior written agreement of the Company.
NONCOMPETE/CONFIDENTIALITY. (a) Prior to January 1, 2000, Distributor shall not, without the prior written consent of Manufacturer (which consent Manufacturer may grant or withhold in its sole discretion), (i) manufacture, sell, supply, distribute, service, repair, upgrade or otherwise use, handle or deal with, in any manner, products in Japan (or spare parts or components of products, other than such spare parts or components manufactured by or on behalf of Manufacturer or its subsidiaries or affiliates) which, in Manufacturer's reasonable judgment, are similar to or competitive with any products of the Manufacturer or its subsidiaries or affiliates, or (ii) agree to do any of the foregoing. For the purposes of this paragraph, prohibited products include all Products, including CVD equipment and processes, PVD equipment and processed, and copper electroplating equipment and processes. Without limiting the foregoing, if, at any time prior to such date, Distributor takes any of the actions described in clauses (i) or (ii) above, then, without limiting any remedies available to Manufacturer, under this Agreement, at law or in equity, for a breach by Distributor of its obligations pursuant to the preceding sentence, Manufacturer's obligations pursuant to Section 3(a) shall immediately terminate and be of no further force or effect.

  • Noncompetition and Confidentiality (a) The parties recognize that the employment of Executive with the Company has been and will continue to be special, unique and of an extraordinary character, and in connection with such employment Executive has and will continue to acquire special skill and training. The parties also recognize that the covenants of Executive contained in this Section 9 are an essential part of Executive’s engagement by the Company and that, but for the agreement of the Executive to comply with such covenants, the Company would not have entered into this Agreement. Executive accordingly agrees that, during the Term, (i) Executive shall not act or serve, directly or indirectly, as a principal, agent, independent contractor, consultant, director, officer, executive, employee or advisor or in any other position or capacity with or for, or acquire a direct or indirect ownership interest in or otherwise conduct (whether as stockholder, partner, investor, joint venturer, or as owner of any other type of interest), any Competing Business (defined below); provided, however, that this clause shall not prohibit the Executive from being the owner of (A) up to 5% of any class of outstanding securities of any entity if such class of securities is publicly traded or (B) any other securities owned by Executive on the date of this Agreement, and (ii) Executive shall not, in connection with or for the benefit of any person or entity engaged in the non-hazardous solid waste business, solicit, induce, divert or take away, any officer, employee or consultant of the Company.

  • Non Competition Confidentiality 4.1 During the term of this Agreement, the Executive may make passive investments in companies involved in industries in which the Company operates, provided any such investment does not exceed a 5% equity interest, unless Executive obtains consent to acquire an equity interest exceeding 5% by a vote of a majority of the directors.

  • Confidentiality; Non-Competition (a) Executive agrees that he will not, at any time during or after the Term, other than in the ordinary course of performing his duties for the Company, make use of or divulge to any other person, firm or corporation any trade or business secret, process, method or means, or any other confidential information concerning the business or policies of the Company, which he may have learned in connection with his employment. For purposes of this Agreement, a “trade or business secret, process, method or means, or any other confidential information” shall mean and include written information reasonably treated as confidential or as a trade secret by the Company. Executive’s obligation under this Section 4.3(a) shall not apply to any information which (i) is known publicly (including information known publicly within the relevant trade or industry); (ii) is in the public domain or hereafter enters the public domain without the fault of Executive; (iii) is known to Executive prior to his receipt of such information from the Company, as evidenced by written records of Executive; or (iv) is hereafter disclosed to Executive by a third party not under an obligation of confidence to the Company. Executive agrees not to remove from the premises of the Company, except as a director or an employee of the Company in the performance of his duties for the Company and its affiliates or except as specifically permitted in writing by the Company, any document or other object containing or reflecting any such confidential information. Executive recognizes that all such documents and objects, whether developed by him or by someone else, will be the sole exclusive property of the Company. Upon termination of his employment hereunder, Executive shall forthwith deliver to the Company all such confidential information, including without limitation all lists of customers, correspondence, accounts, records and any other documents or property made or held by him or under his control in relation to the business or affairs of the Company, and no copy of any such confidential information shall be retained by him; provided, however, that nothing herein shall prevent Executive from retaining (i) his papers and other materials of a personal nature, including, without limitation, photographs, correspondence, personal diaries, calendars, personal files and phone books, (ii) information showing his compensation or relating to reimbursement of his business expenses, (iii) information that is necessary for tax purposes, and (iv) copies of plans, programs, policies and agreements relating to his employment, or termination thereof, with the Company and its affiliates. Anything herein or elsewhere to the contrary notwithstanding, the provision of this Section 4.3(a) shall not apply (i) when disclosure is required by law or by any court, arbitrator, mediator or administrative or legislative body (including any committee thereof) with jurisdiction to order Executive to disclose or make accessible any information or (ii) with respect to any other litigation, arbitration or mediation involving this Agreement or any other agreement between the parties, including, without limitation, the enforcement of such agreements.
