No Laundering. You shall deposit Sales Drafts that represent bona fide sales of merchandise or services by you in the ordinary course of your business only You shall not deposit any Sales Draft arising from (a) sale of merchandise or services other than the merchandise or services specified in the Merchant Bank Card Application and Agreement; or (b) sale of merchandise or services, either directly or indirectly, by any other source or in connection with any other business.
No Laundering. The covenants set forth in Section 1.1 and Section 1.2 are intended to cover only Captured Products and are not intended to cover patent laundering activities of Third Parties, i.e., any products that otherwise meet the definition of Captured Products are not covered by Section 1.1 or Section 1.2, as applicable, to the extent such products are manufactured by a Party on behalf of a Third Party, for resale to such Third Party, from designs licensed or received, in whole or in part, from such Third Party.
No Laundering. The right and license granted to Licensee hereunder are intended to cover only bona fide products or services of Licensee and do not cover any activity of or arrangement with any third party for the primary purpose of extending rights under the Licensed Patents and Licensed Know-How to such third party or to cover such third party’s products. Without limiting the foregoing, Licensee shall not "have made" any Licensed Products from designs owned by any unlicensed third party solely for resale to or on behalf of such third party.
No Laundering. The Parties understand and acknowledge that the licenses, releases, and covenants granted to Siemens and its Affiliates by Enzo hereunder are intended to cover only the bona fide products or services of Siemens and its Affiliates and are not intended to cover patent laundering activities (i.e., activities that are undertaken solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Siemens’ or its Affiliates’ licensed activities). The Parties further agree that a purchase of a product from a supplier and resale of such product in substantially the same form back to the same suppler is not licensed under this Agreement. Nothing in this Agreement shall be construed to license sham sales or sham service contracts executed by Siemens or any of its Affiliates with any third party solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Siemens’ (or its Affiliates’) licensed activities.

The Parties understand and acknowledge that the licenses, covenants, and releases granted to Hologic and its Affiliates, and Grifols and its Affiliates, by Enzo hereunder are intended to cover only the bona fide products and services of Hologic, Grifols, and their respective Affiliates and are not intended to cover patent laundering activities (i.e., activities that are undertaken solely for the purpose of improperly extending licensed and other rights to cover any activity of any Third Party acting outside the scope of Hologic’s, Grifols’, or their respective Affiliates’, licensed and otherwise covered activities). The Parties further agree that a purchase of a product from a supplier and resale of such product in substantially the same form back to the same supplier is not licensed under this Agreement. Nothing in this Agreement shall be construed to license sham sales or sham service contracts executed by Hologic or any of its Affiliates, or Grifols or any of its Affiliates, with any Third Party solely for the purpose of improperly extending licensed rights to cover any activity of any Third Party acting outside the scope of Hologic’s (or its Affiliates’) or Grifols’ (or its Affiliates’) licensed activities.

The Parties understand and acknowledge that the licenses, releases, and covenants granted to Affymetrix and its Affiliates by Enzo hereunder are intended to cover only the bona fide products or services of Affymetrix and its Affiliates and are not intended to cover patent laundering activities (i.e., activities that are undertaken solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Affymetrix’s or its Affiliates’ licensed activities). The Parties further agree that a purchase of a product from a supplier and resale of such product in substantially the same form back to the same suppler is not licensed under this Agreement. Nothing in this Agreement shall be construed to license sham sales or sham service contracts executed by Affymetrix or any of its Affiliates with any third party solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Affymetrix’s (or its Affiliates’) licensed activities.
No Laundering. The Parties understand and acknowledge that the licenses, releases, and covenants granted to Life and its Affiliates by Enzo hereunder are intended to cover only the bona fide products or services of Life and its Affiliates and are not intended to cover patent laundering activities (i.e., activities that are undertaken solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Life’s or its Affiliates’ licensed activities). The Parties further agree that a purchase of a product from a supplier and resale of such product in substantially the same form back to the same supplier is not licensed under this Agreement. Notwithstanding the foregoing, the combination of such supplied product with a Licensed Life Product and/or rebranding of such combination and resale back to the supplier is not a prohibited resale of such product. Nothing in this Agreement shall be construed to license sham sales or sham service contracts executed by Life or any of its Affiliates with any third party solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Life’s (or its Affiliates’) licensed activities.

The Parties understand and acknowledge that the licenses, releases, and covenants granted to Agilent and its Affiliates by Enzo hereunder are intended to cover only the bona fide products or services of Agilent and its Affiliates and are not intended to cover patent laundering activities (i.e., activities that are undertaken solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Agilent’s or its Affiliates’ licensed activities). The Parties further agree that a purchase of a product from a supplier and resale of such product in substantially the same form back to the same suppler is not licensed under this Agreement. Nothing in this Agreement shall be construed to license sham sales or sham service contracts executed by Agilent or any of its Affiliates with any third party solely for the purpose of improperly extending licensed rights to cover any activity of any third party acting outside the scope of Agilent’s (or its Affiliates’) licensed activities.

The Parties understand and acknowledge that the licenses, releases, and covenants granted to Illumina and its Affiliates by Enzo hereunder are intended to cover only the bona fide products and services of Illumina, its Affiliates and their respective Related Persons and are not intended to cover patent laundering activities (i.e., activities that are undertaken solely for the purpose of improperly extending licensed and other rights to cover any activity of any Third Party acting outside the scope of Illumina’s, its Affiliates’, or their respective Related Persons’, licensed and otherwise covered activities). The Parties further agree that a purchase of a product from a supplier and resale of such product in substantially the same form back to the same supplier is not licensed under this Agreement. Nothing in this Agreement shall be construed to license sham sales or sham service contracts executed by Illumina or any of its Affiliates with any Third Party solely for the purpose of improperly extending licensed rights to cover any activity of any Third Party acting outside the scope of Illumina’s (or its Affiliates’) licensed or otherwise covered activities.
No Laundering. Each Party understands and acknowledges that the rights granted to such Party and its Covered Affiliates’ hereunder cover only such Party’s and their Covered Affiliates’ Covered Products or Services and do not, cover manufacturing activities that such Party or its Covered Affiliates may undertake on behalf of third parties.
