No Improper Payments. You will neither pay nor permit payment of any remuneration to or on behalf of any governmental official other than payments required or permitted by applicable law. You will comply fully with the Foreign Corrupt Practices Act of 1977, as amended. You will not, directly or indirectly, make or permit any contribution, gift, bribe, rebate, payoff, influence payment, kickback, or other payment to any person or entity, private or public, regardless of what form, whether in money, property, or services to obtain favorable treatment for business secured, to pay for favorable treatment for business secured, to obtain special concessions or for special concessions already obtained, or in violation of any legal requirement, or establish or maintain any fund or asset related to the Company that is not recorded in the Company's books and records, or take any action that would violate (or would be part of a series of actions that would violate) any U.S. law relating to international trade or commerce, including those laws relating to trading with the enemy, export control, and boycotts of Israel or Israeli products (as is sought by certain Arab countries).
No Improper Payments. Neither the Company nor, to the Company's knowledge, any director, officer, employee or agent of the Company has made any payment of funds of the Company or received or retained any funds in violation of any law, rule or regulation or of a character required to be disclosed in the Prospectus.

No Improper Payments. No member ofthe Leasing Group nor any oftheir respective Affiliates has: (a) made any contributions, payments or gifts of its funds or property to or for the private use of any govemment official, employee, agent or other Person where either the payment or the purpose of such contribution, payment or gifts is illegal under the laws ofthe United States, any state thereofor any other jurisdiction (foreign or domestic); (b) knowingly established or maintained any unrecorded fund or asset for any purpose or knowingly made any false or artificial entries on any of its books or records for any reason; (c) made any payments to any Person with the intention or understanding that any part of such payment was to be used for any other purpose other than that described in the documents supporting the payment; or (d) made any contribution, or reimbursed any political gift or contribution made by any other Person, to candidates for public office, whether federal, state or local, where such contribution would be in violation of applicable law. 10.1.25

No Improper Payments. The Contractor warrants that it has not been, and will not be involved, either directly or indirectly, in giving, offering or agreeing to give or offer, any loan, reward, advantage or benefit of any kind to an elected representative, a government official, an employee of any government or ministry, state corporation, including Canada Post or public international organization (or to any relative or other person connected with such an individual) in exchange for, or in order to induce, favourable business treatment or to affect any decision. Any breach of the preceding sentence shall be deemed to be a material breach of this Contract giving rise to all of Canada Post’s rights arising therefrom.
No Improper Payments. Executive agrees that she will not, either on her own behalf or on behalf of the Company, make any improper payment or make any donation, or give anything of value, either directly or indirectly, to an official of any government for the purpose of improperly influencing an act or decision of the official in his or her official capacity or inducing the official to use his or her influence to assist Executive or the Company in obtaining or maintaining business or for any other improper purpose prohibited by applicable law or the public policies of the U.S. or any country in which the Company’s business is conducted.
