Miscellaneous Rent Provisions. If Tenant shall fail to pay any installment of Minimum Rent, Percentage Rent or any item of additional rent within five (5) days after the date the same became due and payable, then Tenant shall pay to Landlord a late payment service charge (“Late Charge”) covering administrative and overhead expenses equal to the greater of (a) $250.00 or (b) 5¢ per each dollar so overdue. Provision herein for payment of the Late Charge shall not be construed to extend the date for payment of any sums required to be paid by Tenant hereunder or to relieve Tenant of its obligation to pay all such sums at the times herein stipulated. If the Commencement Date is other than the first day of a month, Tenant shall pay on the Commencement Date a prorated partial Minimum Monthly Rent for the period prior to the first day of the next calendar month, and thereafter Minimum Monthly Rent payments shall be made not later than the first day of each calendar month.

If additional Major Tenants are added to the Center or an existing Major Tenant is replaced by a Major Tenant of higher quality, the Minimum Annual Rent and Minimum Monthly Rent herein provided for shall automatically be increased ten percent (10%) at the time each additional or higher quality Major Tenant opens for business. In addition to the foregoing, if Landlord shall, at any time during the term of this Lease, renovate or expand the Center, the cost of which exceeds Ten Million Dollars ($10,000,000.00), the Minimum Rent herein provided for shall automatically be increased ten percent (10%) upon the first day of the month following the completion of such renovation or expansion.

(a) If (i) any installment of Base Rent or PILOT is not paid within ten (10) Business Days after the day on which it first becomes due or (ii) any other Rental payment hereunder is not paid within ten (10) Business Days following notice from Landlord that such payment is due, then Tenant shall pay Landlord, in addition to such overdue Rental, within ten (10) Business Days following demand, a late charge in the amount of One Thousand Dollars ($1,000) for each such overdue payment and interest (x) in the case of Tenant’s failure to pay PILOT, at the rate of interest charged from time to time by the City for delinquent Taxes of the sum so overdue and

The parties acknowledge and agree that (i) the Percentage Rent payable by Tenant hereunder is inclusive of all real and personal property taxes; common area operating and maintenance costs; common area and general insurance premiums for the Hotel Complex, or any portion thereof; all marketing, promotional and advertising fees or charges payable by tenants or occupants of the Hotel Complex; all parking fees or charges for guests and employees of Tenant; and all other charges or fees typically payable by tenants or occupants of the Hotel Complex, and (ii) except for Tenant’s obligation to pay for its utilities, maintenance and insurance as set forth in Sections 7.1,

If the Commencement Date is other than the first day of a month, Tenant shall pay on the Commencement Date a prorated partial Minimum Monthly Rent for the period prior to the first day of the next calendar month, and thereafter Minimum Monthly Rent payments shall be made not later than the first day of each calendar month. For the purposes of this Lease, a "Major Tenant" is herein defined as a single tenant occupying at least 40,000 contiguous square feet of floor area.

Any rent or other amounts to be paid by Tenant which are not paid by the fifth (5th) day after the date when due shall bear interest as of the first day of the month on which any sum is due and owing at a rate equal to two percent (2%) over the prime rate announced by Citibank, N.A., and such default interest shall thereafter be compounded on a monthly basis. If the Bodies Exhibition Commencement Date, the Titanic Exhibition Commencement Date and/or the King of the World/High Tea/TBD Venue/Iceberg Bar Commencement Date is other than the first day of a month, Tenant shall pay a prorated partial Minimum Monthly Rent for the period prior to the first day of the next calendar month, and thereafter Minimum Monthly Rent payments shall be made not later than the first day of each calendar month.
