Minority Vendors Clause Samples
Minority Vendors. Each Minority Vendor having signed a Minority Vendor Declaration in the agreed form and delivered such declaration together with duly executed share transfer forms in respect of their Shares to the Vendors' Solicitors for delivery to the Purchaser at Completion.
Minority Vendors. The City has encouraged Developer to use small businesses, including minority and women-owned businesses as subcontractors or sub-vendors under this Agreement. The directory of certified minority and women-owned businesses can be accessed from the website of the State of Florida, Department of Management Services, Office of Supplier Diversity. The City shall require Developer to report on a quarterly basis its expenditures with minority and women-owned businesses. The report shall contain the names and addresses of the minority and women-owned businesses; the aggregate dollar figure disbursed that quarter for each business, the time period, type of goods or services; and the applicable code. If no expenditures were made to minority or women-owned businesses, Developer shall submit a statement to this effect.

DuPont requires CSMG to provide maximum practicable utilization of minority subcontractors and vendors among its source of supply on the DuPont Plant in performance of this Agreement . Minorities include but are not limited to Black Americans, Hispanic Americans, Native Americans, Asian Pacific Americans and Native Hawaiian organizations. A minority business is at least 51% owned by a minority or group of minorities and has its management and daily business controlled by one or more such individuals. DuPont will assign and CSMG shall set a minority procurement goal for CSMG at least equal to the corporate goal of DuPont. CSMG shall either (a) report to DuPont on a quarterly basis the dollar amounts paid by CSMG during the previous quarter to minority subcontractors and vendors for Material and services used in the performance of this Agreement or (b) provide a contact in CSMG's organization who can provide such minority procurement information to DuPont.

THE PURCHASER SHALL NOT BE ENTITLED TO RECOVER ON ANY CLAIM PURSUANT TO CLAUSE 4.1 FROM ANY MINORITY VENDOR AND, FOR THE AVOIDANCE OF DOUBT, THE PARTIES HEREBY EXPRESSLY AGREE THAT NONE OF THE CONSIDERATION SHARES TO BE ISSUED BY PURCHASER TO THE MINORITY VENDORS SHALL BE ESCROW SHARES.
