Manufacturability of McDATA Design. 4.2.1 New Products. McDATA shall provide its Specification(s) and may provide McDATA Process Documentation to SUPPLIER for new Products. SUPPLIER shall provide to McDATA a New Product Project Plan (Section 10.3) including feedback associated with materials and manufacturing,and suggested improvements to McDATA in writing as to the Manufacturability of such design(s). Upon McDATA’s review of such New Product Project Plan submitted by SUPPLIER, and upon mutual agreement and written authorization by McDATA, SUPPLIER shall commence production of the new Product. In the event McDATA instructs SUPPLIER to commence production prior to mutual agreement of such New Product Project Plan, such commencement does not indicate SUPPLIER’s agreement as to the Manufacturability of such New Product design. If SUPPLIER commences production prior to mutual agreement and/or McDATA’s specific instructions to commence production, and McDATA rejects the finished Product when delivered to McDATA, then SUPPLIER shall bear the production costs associated with that production run. McDATA’s failure to reject such Product shall not invalidate SUPPLIER’s warranty obligations hereunder.

Sanmina-SCI shall provide to McDATA a New Product Project Plan (Section 24.3) including without limitation feedback, risk assessment, and suggested improvements to McDATA in writing as to the Manufacturability of such design(s). Upon McDATA’s review of such New Product Project Plan submitted by Sanmina-SCI, and upon mutual agreement and written authorization from McDATA, Sanmina-SCI shall commence production of the new Product. In the event McDATA instructs Sanmina-SCI to commence production prior to mutual agreement of such New Product Project Plan, such commencement does not indicate Sanmina-SCI’s agreement as to the Manufacturability of such New Product design. If Sanmina-SCI commences production prior to mutual agreement without McDATA’s specific instructions to commence production, then such production indicates Sanmina-SCI’s acceptance of responsibility for production using such design.

  • Quality of Materials and Workmanship Unless otherwise specified, all materials shall be new, and both workmanship and materials shall be of good quality. The Contractor shall, if required, furnish satisfactory evidence as to the kind and quality of materials and work. The burden of proof is on the Contractor.

  • Manufacturing (a) The Supplier shall without limitation be responsible, at no additional cost to the Purchaser, for: sourcing and procuring all raw materials for the Products; obtaining all necessary approvals, permits and licenses for the manufacturing of the Products; providing sufficient qualified staff and workers to perform the obligations under this Purchase Agreement; implementing and maintaining effective inventory and production control procedures with respect to the Products; and handling other matters as reasonably requested by the Purchaser from time to time.

  • Removal of Materials If you decide you would like to remove your Materials from the Service, you may provide written notice to Prime Publishing by either deleting the image through the Prime Publishing interface or by contacting Prime Publishing customer service, and Prime Publishing will remove such Materials from the Service within a reasonable period of time. 5) License for Name, Trademarks and Likenesses.   • Quality of Work Consultant agrees that all Services performed under this Agreement will conform to the specifications of the College, be free from errors, and be of professional quality according to applicable industry standards. Upon notice by the College, Consultant will promptly correct any defects without charge to the College unless the request is considered new work by both parties.

  • Solicitations for Subcontracts, Including Procurement of Materials and Equipment In all solicitation, either by competitive bidding or negotiation, made by the Contractor for work to be performed under a subcontract, including procurement of materials or leases of equipment, each potential Subcontractor or supplier shall be notified by the Contractor of the Contractor’s obligations under this Agreement and the Regulations relative to non-discrimination on the grounds of race, color, or national origin.

  • Technical Feasibility of String While ICANN has encouraged and will continue to encourage universal acceptance of all top-­‐level domain strings across the Internet, certain top-­‐level domain strings may encounter difficulty in acceptance by ISPs and webhosters and/or validation by web applications. Registry Operator shall be responsible for ensuring to its satisfaction the technical feasibility of the TLD string prior to entering into this Agreement.

  • DEVELOPMENT OR ASSISTANCE IN DEVELOPMENT OF SPECIFICATIONS REQUIREMENTS/ STATEMENTS OF WORK Firms and/or individuals that assisted in the development or drafting of the specifications, requirements, statements of work, or solicitation documents contained herein are excluded from competing for this solicitation. This shall not be applicable to firms and/or individuals providing responses to a publicly posted Request for Information (RFI) associated with a solicitation.

  • Third Party Components The Products and Services may contain third party components (including open source software) subject to separate license agreements. To the limited extent a third party license expressly supersedes this XXXX, such third party license governs Customer’s use of that third party component.
