Management Period. On and from May 1, 1995, until the earliest of the Closing or the earlier termination of this Agreement in accordance with its terms (the "Management Period"), Seller shall delegate to the Purchaser the irrevocable and exclusive right to Manage (defined below) the Business and the Purchased Assets. Any subsequent agreements entered into by Purchaser on behalf of Seller necessary to operate the Purchased Assets and the Business shall not restrict or obligate, in any way, Seller subsequent to the Management Period.
