Legal Impediment. There shall be no impediment, restriction, limitation or prohibition imposed under Law or by any Governmental Authority, as to the proposed financing under this Agreement or the repayment thereof or as to rights created under any Loan Document or as to application of the proceeds of the realization of any such rights. Each Request for Credit Extension submitted by the Borrower shall be deemed to be a representation and warranty that the conditions specified in Sections 4.02(a) and (b) have been satisfied on and as of the date of the applicable Credit Extension.
Legal Impediment. Legal Impediment. No statute, rule, regulation, executive order, decree, ruling or injunction will have been enacted, entered, promulgated or endorsed by or in any court or governmental authority of competent jurisdiction or any self-regulatory organization having authority over the matters contemplated hereby which prohibits the consummation of any of the transactions contemplated by this Agreement.

Other than with respect to any credit Extension of the Term Loan, there shall be no impediment, restriction, limitation or prohibition imposed under Law or by any Governmental Authority, as to the proposed financing under this Agreement or the repayment thereof or as to rights created under any Loan Document or as to application of the proceeds of the realization of any such rights.
Legal Impediment. Other than in connection or compliance with Applicable Canadian Securities Laws and the rules of the TSXV and the CSE, there is no legal impediment to such person’s consummation of the Private Placement and the other transactions contemplated by this Agreement.

In the case of an Extension of Credit to a Subsidiary Borrower that is a Foreign Subsidiary, there shall be no impediment, restriction, limitation or prohibition imposed under Applicable Law or by any Governmental Authority, as to the proposed financing under this Agreement or the repayment thereof or as to rights created under any Loan Document or as to application of the proceeds of the realization of any such rights. Legal Impediment. If the legal opinion referred to in Section 6.1.1 (a) is to the effect that payment of such purchase price is prohibited by applicable law, rule or regulation, and if the legal prohibition can be eliminated by recapitalization in accordance with generally accepted accounting principles (including adjustment of the value of its assets or adjustment of the par value of the Company’s issued and outstanding capital stock or other reasonable action by the Company), then the Company will take such action. If such prohibition cannot be eliminated by any such action, the Company will give written notice to the Transferee Stockholder, the Transferee Stockholder’s Family Members as identified on his Family Member List, and to the Remaining Stockholders of the Company’s inability to purchase and the rejection of the Offer.

Legal Impediment. In the event that any law, ordinance, regulation or directive of any governmental or regulatory authority hereinafter enacted or ordered prohibits GoldenState’s use of the Site, the Site Agreement for such Site may be terminated by either Party, without penalty or continuing liability for payment of Base Rent not accrued prior to the termination date for the affected Site, except for any indemnity obligations, including without limitation, environmental indemnity and tax obligations and any other obligation arising prior to the date of termination, and User’s obligation to remove the Equipment from the Property, the parties hereto shall be released from all duties, obligations, liabilities and responsibilities under the Site Agreement.
