JPC Meetings. During the term of this Agreement, the JPC shall meet at least once each calendar quarter or at such other frequency as the JPC agrees. The Parties shall meet on a date and time and at a location agreed to by the JPC. Upon written notice by either Party to the other that a meeting is required or requested, a meeting will be held within thirty (30) calendar days of such notice on a date and time and at a location to be agreed upon by the Parties, or sooner if warranted by the circumstances. Notice requesting such a meeting shall include adequate information describing the activity to be reviewed. Any meetings of the JPC may be held in person at a location to be agreed to by the Parties, or by videoconference or teleconference. A reasonable number of additional representatives of either Party (including outside consultants and independent contractors, subject to the other Party's reasonable consent) may attend meetings of the JPC in a non-voting capacity. At least one week prior to any meeting of the JPC, each Party shall provide the other with a proposed agenda of the matters to be discussed at such meeting. Within thirty (30) days after each meeting, the JPC chairperson will provide the Parties with a written report describing, in reasonable detail, the status of the Product, a summary of the results and progress to date, the issues requiring resolution, and the agreed resolution of previously reported issues.
JPC Meetings. JPC meetings are to be held at least twice during or after the term of this Agreement, with one on each respective site, and with one near the beginning of the Agreement and the last no later than one month post termination date of this Agreement. The method, location and details of all other meetings including teleconferences will be determined jointly by the JPC membership, with special consideration for frequent information transfer each time data or sample is transferred. Other representatives and participants of a Party may attend the JPC meeting as needed, but prior notification and approval must take place. Each JPC meeting will end with a brief summary of issues and steps taken towards resolution recorded in the minutes.
JPC Meetings. The JPC shall meet at least quarterly, with such meetings ------------ to be held, alternately, in New Haven, Connecticut, and GW's RTP facilities unless the Parties agree otherwise. Any additional meetings shall be held at places and on dates selected by the Co-Chairs of the JPC. In addition, the JPC may act without a formal meeting by a written memorandum signed by the Co-Chairs of the JPC. Whenever any action by the JPC is called for hereunder during a time period in which the JPC is not scheduled to meet, the Co-Chairs of the JPC shall cause the JPC to take the action in the requested time period by calling a special meeting or by action without a meeting. Subject to the obligations set forth in Article V, representatives of each Party or of its Affiliates, in addition to the members of the JPC, may attend JPC meetings at the invitation of either Party with the prior approval of the other Party, which shall not be unreasonably withheld.

  • TAC Meetings The goal of this subtask is for the TAC to provide strategic guidance for the project by participating in regular meetings, which may be held via teleconference. The Recipient shall: • Discuss the TAC meeting schedule with the CAM at the Kick-off meeting. The TAC shall: • Help set the project team's goals and contribute to the development and evaluation of its statement of proposed objectives as the project evolves. • Provide a credible and objective sounding board on the wide range of technical and financial barriers and opportunities. • Help identify key areas where the project has a competitive advantage, value proposition, or strength upon which to build. • Advocate on behalf of the project in its effort to build partnerships, governmental support and relationships with a national spectrum of influential leaders. • Ask probing questions that insure a long-term perspective on decision-making and progress toward the project’s strategic goals. • Review and provide comments to proposed project performance metrics. • Review and provide comments to proposed project Draft Technology Transfer Plan.   • Open Meetings (a) All scheduled meetings of the Employer shall be open meetings, except in those cases where personnel, financial or other matters require that the meeting be considered confidential.

  • Public Meetings The Governing Board is subject to and shall comply with the Open and Public Meetings Act, O.C.G.A. § 50-14-1 et seq., and any subsequent amendment thereof. The Governing Board shall conduct regular meetings consistent with principles of transparency and avoidance of actual or apparent conflicts of interest in the governance of the Charter School.

  • Joint Meetings 10.1(a) Should either party desire to discuss with the other any matter affecting generally the relationship of the parties, a meeting of Union and management representatives shall be arranged upon request of either party. Such meeting shall take place at a time mutually convenient to both parties. Any use of Company time for attendance at such meetings shall be arranged in advance by mutual agreement.

  • Member Meetings (a) There shall be no meetings of the Members unless called by the Board or as otherwise specifically required by the Delaware Act. No Members or group of Members, acting in its or their capacity as Members, shall have the right to call a meeting of the Members.

  • Other Meetings Other meetings of the Board shall be held at such times and places as the Board, the Chairman, the President or any director shall from time to time determine.

  • Faculty Meetings Principals shall have the authority to schedule necessary faculty meetings; however, such meetings shall be as brief and well planned as possible. Such meetings shall be used for purposes that cannot be accomplished effectively through other means. Faculty meetings shall be scheduled in a manner that impacts teacher planning time to the least degree possible. If more than one faculty meeting is held in a month, the purpose of the meeting shall be announced to the faculty in advance.

  • GENERAL MEETINGS 19. The Academy Trust shall hold an Annual General Meeting each year in addition to any other meetings in that year, and shall specify the meeting as such in the notices calling it; and not more than fifteen months shall elapse between the date of one Annual General Meeting of the Academy Trust and that of the next. Provided that so long as the Academy Trust holds its first Annual General Meeting within eighteen months of its incorporation, it need not hold it in the year of its incorporation or in the following year. The Annual General Meeting shall be held at such time and place as the Governors shall appoint. All meetings other than Annual General Meetings shall be called General Meetings.

  • Periodic Meetings As reasonably required by Owner, Manager and other personnel engaged or involved in the management and operation of the Properties shall meet to discuss the historical results of operations and to consider deviations from budget.

  • Staff Meetings Staff meetings, whether in the store or off the premises, shall be considered as time worked and paid for accordingly, except meal meetings at which the attendance is voluntary. Such meal meetings in excess of three (3) during each Contract year shall be considered as time worked and paid for accordingly.
