Ingress/Egress Limited Easement. Producer hereby grants to Gatherer, as of the Effective Date, insofar as Producer or its applicable Affiliate is legally and contractually able and permitted to do so (including, if applicable, any restrictions in the Dedicated Leases), and with no additional cost to Producer or its Affiliates, a limited easement of ingress and egress to Producer’s and its Affiliates’ leaseholds or premises (including the Dedicated Leases) for access to Gatherer’s Land Interests on which Gatherer is performing the construction or operation of pipelines and/or facilities necessary for the delivery of Produced Water under this Agreement, as well as the right of temporary staging of equipment utilized in connection with the performance of the Services. Notwithstanding the foregoing, the Parties acknowledge and agree that Gatherer’s access to and from Producer’s leaseholds and premises located within the Lands (as defined in the SUA) are governed solely by the SUA and not this Section 3.1(b). In exercising the ingress and egress rights pursuant to this Section 3.1(b), Gatherer shall: (i) to the extent not due to an Emergency, provide Producer with not less than ten (10) days’ prior written notice of the effective date of Gatherer’s initial intended access on any specific leasehold or premises or, in the case of non-Emergency repair or maintenance to the System, not less than three (3) days’ prior written notice, and, in the case of an Emergency, as soon as practicable under the circumstances, (ii) not interfere with Producer’s or any of its Affiliate’s operations or with the applicable owners or lessors, (iii) comply with the safety and other access requirements applicable to the relevant site(s), and (iv) comply with Applicable Law and any restrictions relating to such leaseholds and premises. Neither Producer, nor any of its Affiliates, shall be obligated to maintain any leaseholds or premises, and the rights provided to Gatherer herein shall terminate if Producer or its Affiliate loses said applicable corresponding right. If Producer agrees in writing that Gatherer may place its property upon Producer’s or any of its Affiliate’s leaseholds or premises (which agreement shall not be unreasonably withheld), (1) such property shall remain the personal property of Gatherer and, subject to the other provisions of this Agreement, may be disconnected and removed by Gatherer, and (2) prior to Gatherer’s construction of any pipelines or facilities on such leaseholds or premises, the ...

  • Ingress and Egress (a) Upon the Execution Date of a Site Agreement, BellSouth hereby grants to User, as well as User's contractors, subcontractors, agents, affiliates, or employees, subject to the limitations set forth herein or in the applicable Site Agreement, (i) the non-exclusive right to use the Tower, at locations mutually agreed upon by User and BellSouth, for the term hereof for ingress, egress, and access to the Tower Space adequate to service the Tower Facilities and (ii) if the term "Leased Space" as used in the Site Agreement includes Ground Space, a non-exclusive easement for the term hereof, for ingress, egress, and access to the Leased Space, on a twenty-four (24) hours per day, seven (7) days per week basis, across (aa) the Property in locations mutually agreed upon by BellSouth and User and (bb) if the Property is leased or licensed by BellSouth, across the property of the Master Landlord to the extent and in the locations of the Master Landlord-granted ingress, egress and access easements to BellSouth in the Master Lease/License. User or User's qualified, insured contractors under User's direct supervision, as well as SprintCom, Inc., a Kansas corporation ("SprintCom") shall have access to the Tower upon twenty- four (24) hours notice to BellSouth, which access shall be subject to the accompaniment, at BellSouth's option, of BellSouth's field personnel to provide an escort and/or supervision, and User shall reimburse BellSouth for BellSouth's actual, reasonable costs related thereto within thirty (30) days of BellSouth's delivery to User of a written invoice for such costs. The foregoing notwithstanding, User and SprintCom shall have access to the Leased Space and User's Facilities immediately and without notice in the event of an emergency, and User shall notify BellSouth as soon as practicable of User's access (SprintCom's) during such emergency. Other security measures required for a particular Site may be set forth in the Site Agreement. User shall be responsible to ensure that User's contractors, subcontractors, agents, affiliates, employees, as well as SprintCom, are adequately insured prior to gaining access to any Site. Without in any way limiting the scope of Section 18, User shall indemnify, protect and hold harmless BellSouth for any loss, claim, or damages resulting from access to any Site permitted in this paragraph.

  • Reciprocal Easement Agreements (a) Neither Borrower, nor any other party is currently in default (nor has any notice been given or received with respect to an alleged or current default) under any of the terms and conditions of the REA, and the REA remains unmodified and in full force and effect;

  • Premises Parking and Common Areas 2.1 Letting Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the Premises, for the term, at the rental, and upon all of the terms covenants and conditions set forth in this Lease.   • Site Plan The Landlord covenants that the Center is or shall be developed in accordance with the Site Plan and that it shall be used as a retail shopping center throughout the term of this Lease. The Landlord may not modify or replace the Site Plan without the prior written consent of the Tenant, which consent shall not be unreasonably withheld or delayed. No such modification or replacement shall (i) reduce the ratio of parking spaces to gross leasable area of buildings in the Center shown on the Site Plan, (ii) reduce or rearrange the parking spaces cross-hatched on the Site Plan, (ii) interfere with truck access to the loading doors of the Premises, (iv) interfere with customer access to the Premises or the parking areas closest to the Premises, (v) interfere with the visibility of the Premises from the roads providing direct access to the Center or (vi) result in the construction of any buildings in the area designated "No Build Area" on the Site Plan.

  • Lessor to Grant Easements, Etc Lessor will, from time to time, so long as no Event of Default has occurred and is continuing, at the request of Lessee and at Lessee’s cost and expense (but subject to the approval of Lessor, which approval shall not be unreasonably withheld or delayed), (a) grant easements and other rights in the nature of easements with respect to the Leased Property to third parties, (b) release existing easements or other rights in the nature of easements which are for the benefit of the Leased Property, (c) dedicate or transfer unimproved portions of the Leased Property for road, highway or other public purposes, (d) execute petitions to have the Leased Property annexed to any municipal corporation or utility district, (e) execute amendments to any covenants and restrictions affecting the Leased Property and (f) execute and deliver to any Person any instrument appropriate to confirm or effect such grants, releases, dedications, transfers, petitions and amendments (to the extent of its interests in the Leased Property), but only upon delivery to Lessor of an Officer’s Certificate stating that such grant, release, dedication, transfer, petition or amendment does not interfere with the proper conduct of the business of Lessee on the Leased Property and does not materially reduce the value of the Leased Property.

  • Building Name Landlord reserves the right at any time and from time to time to change the name by which the Building is designated.

  • Project or Building Name and Signage Landlord shall have the right at any time to change the name of the Project or Building and to install, affix and maintain any and all signs on the exterior and on the interior of the Project or Building as Landlord may, in Landlord’s sole discretion, desire. Tenant shall not use the name of the Project or Building or use pictures or illustrations of the Project or Building in advertising or other publicity or for any purpose other than as the address of the business to be conducted by Tenant in the Premises, without the prior written consent of Landlord.

  • Parking Areas Landlord and Tenant agree that Landlord will not be responsible for any loss, theft or damage to vehicles, or the contents thereof, parked or left in the parking areas of the Premises and Tenant shall install at least one sign in the parking areas so advising its employees, visitors or invitees who may use such parking areas. Except as otherwise provided in this Section 3.5, parking areas shall be used for parking by vehicles no larger than full-size passenger automobiles or pick-up trucks, herein called "Permitted Size Vehicles." Vehicles other than Permitted Size Vehicles shall be parked and loaded or unloaded as directed by Landlord in the Rules and Regulations. Tenant shall not permit or allow any vehicles that belong to or are controlled by Tenant or Tenant's employees, suppliers, shippers, customers, contractors or invitees to be loaded, unloaded or parked in areas other than those designated by Landlord for such activities. Tenant agrees not to use or permit its employees, visitors or invitees to use the parking areas for overnight storage of vehicles, except for trucks on the Premises in the process of loading or unloading, and except for semi-tractors and trailers parked in the areas shown on the Site Plan as "Tenant's Designated Truck Parking". Tenant covenants and agrees that it shall not permit any of its employees, agents, contractors, vendors or shippers to park trucks, automobiles, trailers or other vehicles on any of the public streets in the general vicinity of the Premises or the industrial or business park in which the Premises are located. If Tenant permits or allows any of the prohibited activities described above for a period of five (5) business days after written notice from Landlord, then Landlord shall have the right, without further notice, in addition to such other rights and remedies that it may have, to remove or tow away the vehicle involved at Landlord's risk and expense. All responsibility for damage and theft to vehicles and their contents is assumed by the parties owning the same, including, respectively, Tenant or Tenant's partners, trustees, officers, directors, shareholders, members, invitees, or any of Tenant's assignees, subtenants or assignees' or subtenants' agents, employees, contractors, customers, suppliers, servants, guests, or independent contractors (collectively, "Tenant Parties"). Tenant shall repair or cause to be repaired, at Tenant's sole cost and expense, any and all damage, ordinary wear and tear excepted, to any portion of the Property caused by the use by Tenant Parties of the driveway or parking areas within the Property. Landlord shall not be liable to Tenant by reason of any moratorium, initiative, referendum, statute, regulation or other governmental action which could in any manner prevent or limit the parking rights of Tenant hereunder. Any governmental charges or surcharges or other monetary obligations imposed relative to Parking rights with respect to the Building shall be considered assessments and shall be Payable by Tenant as set forth in Paragraph 4.1; as of the Commencement Date, Landlord represents there are no such charges or surcharges imposed on the Premises.
