Governing Law and Venue Selection. This Agreement is made under and shall be governed by and construed in accordance with the laws of the State of Minnesota without regard to conflicts of law principles thereof, or of any of the United States of America. The parties agree that any litigation in any way relating to this Agreement or to Key Employee’s employment by Employer, including but not limited to the termination of this Agreement or of Key Employee’s employment, will be venued in the State of Minnesota, Hennepin County District Court, or the United States District Court for the District of Minnesota. Key Employee and Employer hereby consent to the personal jurisdiction of these courts and waive any objection that such venue is inconvenient or improper.

For purposes of this Clause 18, the term “United States Affiliate” shall include any entity organized under the laws of the United States which owns a majority interest of or is owned by Supplier at the time of contracting and shall apply to this Agreement only insofar as Supplier is not otherwise organized under the laws of the United States but is otherwise affiliated with a United States Affiliate, in which case, Supplier hereby designates its United States Affiliate as its service of process agent. Notwithstanding the foregoing, Xxxxx has the right at its discretion to take legal action against Supplier at a court with jurisdiction over the registered office or branch office of Supplier or at the court with jurisdiction over the place of performance.

This Contract is made under and shall be governed by, construed in conformance with, and all disputes shall be governed by the internal laws (exclusive of the conflicts of law principles) of the State of Tennessee. The United Nations Convention on Contracts for the International Sale of Goods (CIGS) shall not apply. Venue shall always be in Shelby County, Tennessee. Buyer waives objection to jurisdiction and/or venue in the State of Tennessee.

Cadogan and ADC hereby consent to the personal jurisdiction of these courts and waive any objection that such venue is inconvenient or improper.
