General Collaboration Objectives. Algos and Endo shall work exclusively with each other to achieve the objectives of this Collaboration upon the terms and conditions set forth in this Agreement. In order to maximize market penetration, each Party desires to enter into a collaboration which aligns technological innovation and organizational resources (including access to manufacturing, sales and marketing, distribution, regulatory, service and support, management expertise, entrepreneurial acuteness and capital) to successfully complete development, manufacturing and commercialization of a Licensed Product. In furtherance of these objectives, each Party shall (i) cooperate with the other Party in good faith, in order to achieve the objectives of this Agreement; (ii) furnish, maintain and preserve suitable and sufficient facilities and personnel for the work to be accomplished by each Party hereunder, and (iii) perform its obligations hereunder in good faith in a commercially reasonable, diligent and workmanlike manner and in compliance in all material respects with the standards, laws, rules and regulations of each regulatory authority having jurisdiction over the material activities of each Party. Algos and Endo will each undertake primary responsibility for certain aspects of research, development, manufacturing and commercialization of the Licensed Product as set forth in Articles 3, 4 and 5. Each Party shall have the rights to use Proprietary Information developed pursuant to this Agreement on the basis provided for herein.
