Formation of Steering Committee. The Parties shall establish a joint committee (the "STEERING COMMITTEE"), which shall oversee the research, development and commercialization activities hereunder. Each of Northwest and Medarex: shall appoint an equal number of representatives with the requisite experience and seniority to enable them to make decisions on behalf of the Parties with respect to the Collaboration. From time to time, Northwest and Medarex each may substitute any of its representatives to the Steering Committee.
Formation of Steering Committee. Following the Effective Date, the ------------------------------- parties will form a Steering Committee comprised of senior managers (two (2) each from ASTRA and CENTAUR), responsible for the Projects. The Steering Committee shall be initially chaired by a manager selected by CENTAUR up to the date when Development Work under a Project is first commenced, and thereafter, by a manager selected by ASTRA. The Steering Committee may, from time to time, when deemed necessary or appropriate, call upon other representatives of the parties to participate in the work of the Steering Committee.
Formation of Steering Committee. Promptly following execution of this Agreement, the Parties will agree on a Zelapar Steering Committee consisting of an equal number of Elan and Amarin members. The initial chair of the Steering Committee shall be designated by Elan and shall rotate between Elan and Amarin at least annually. Elan and Amarin may each designate a proxy or substitute for its members, and may substitute its members.

No later than ten days after the Effective Date, the parties will establish a joint steering committee for each of the Synthetic Enhancing Compound Program, Natural Enhancing Compound Program and Natural Sweetener Compound Program (each, a “Steering Committee”). Formation of Steering Committee. Within thirty (30) days of the FAAR Effective Date the Parties shall form a steering committee (“Steering Committee”) to support and coordinate the relationship between First Data and RCSI. This support will include high-level discussions regarding policies, procedures, guiding principles of the relationship, issues associated with First Data’s execution of the Services, allocation of resources, support and understanding of RCSI’s strategic direction, review of priorities, introduction and approval of new Service Levels, data collection techniques, and modifications to existing Service Levels and related metrics. The Steering Committee shall also serve in an advisory role. Anything to the contrary herein notwithstanding, the Steering Committee and the actions it takes shall in no way shall diminish the rights and authority provided to RCSI in this Agreement. Further, the RCSI Contract Executive shall retain the right to review and reverse the decisions of the Steering Committee.

The Steering Committee shall consist of no fewer than four (4) but no more than six (6) members, with the Supplier and the Purchaser each designating the same number of members. Each Party’s Relationship Manager shall be a member of the Steering Committee. The members of the Steering Committee as of the Amended Effective Date are set forth on Schedule A.
Formation of Steering Committee. The Members of the Raising the Floor Consortium will create a Steering Committee of up to seven Member Representatives to act on their behalf. Seats on the Consortium Steering Committee shall be filled by a vote of the Members. Initial terms begin on the formation of the Steering Committee, four of which (the first four seats filled or, if more than four seats were filled on the same date, the four with the highest number of votes) will run for two years and the remaining three will run for one year. After the initial terms, the seats shall be filled for two-year terms with about half of the Steering Committee seats being elected each year. Any election shall be conducted in accordance with reasonable procedures adopted by the Steering Committee (or the Membership as a whole if the Steering Committee has not yet been established).

Each member shall have appropriate technical credentials and knowledge and ongoing familiarity with the Development Program. All decisions of the Steering Committee shall be unanimous.
