Financial and Reporting Matters. All maintenance records and supporting documentation maintained by Contractor pursuant to this section and/or relating to Contractor’s services on behalf of the Golf Course, shall be the sole and exclusive property of City, and shall be made available to City at City’s request at reasonable times during normal business hours, and, in addition, in connection with independent financial audits performed by City, as well as audits by any governmental authority. City, or persons appointed by City may, during ordinary business hours, examine all maintenance records and supporting documentation maintained by Contractor pursuant to this section, and all of Contractor’s payroll documents, records and files relating to services provided by Contractor’s staff pursuant to this Agreement. Should City or City’s employees or representatives discover any errors in record-keeping, Contractor shall correct such discrepancies promptly upon discovery and notification thereof, and make all appropriate and necessary adjustments. Contractor shall inform City in writing of the action taken to correct any such audit discrepancies.

Financial and Reporting Matters. Buyer shall have either (i) advised Sellers in writing that Buyer does not require the Carve-Out Financial Statements or (ii) received the Carve-Out Financial Statements; provided that, if notwithstanding Sellers’ compliance with Section 5.5, Sellers have not satisfied this condition within twenty-one (21) days of the date of this Agreement, then Sellers may advise Buyer in writing at any time thereafter that Sellers have not satisfied this condition, in which event this Agreement will terminate.
