The parties hereto agree that this Agreement (including all Exhibits hereto, and the Microsoft Non-Disclosure Agreement to the extent incorporated herein) and the Xbox Guide (as applicable from time to time) constitute the entire agreement between the parties with respect to the subject matter hereof and merges all prior and contemporaneous communications. It shall not be modified except by a written agreement dated subsequent hereto signed on behalf of Licensee and Microsoft by their duly authorized representatives. Neither this Agreement nor any written or oral statements related hereto constitute an offer, and this Agreement shall not be legally binding until executed by both parties hereto.

Notwithstanding the foregoing, the Third Party Private Label Interface entered into between the parties as of December 15, 2000 (the "Interface Agreement") shall remain in full force and effect and shall not be superseded by this Agreement, except that to the extent of any inconsistency or conflict between the terms of the Interface Agreement and this Agreement, this Agreement shall have precedence; provided, however, that, in the event this Agreement is assigned pursuant to Section 16.4 hereof, any assignee of this Agreement shall not assume or be otherwise bound to the Interface Agreement. This Agreement shall not be modified except by a written agreement dated subsequent hereto signed on behalf of each party by its duly authorized representatives.
