Distributions by the Administrative Agent. Unless the Administrative Agent shall have received notice from the Borrower prior to the date on which any payment is due to the Lenders hereunder that the Borrower will not make such payment in full, the Administrative Agent may assume that the Borrower has made such payment in full to the Administrative Agent on such date, and the Administrative Agent may, in reliance upon such assumption, cause to be distributed to each Lender on such due date an amount equal to the amount then due such Lender. If and to the extent that the Borrower shall not have so made such payment, each Lender shall repay to the Administrative Agent forthwith on demand such amount distributed to such Lender together with interest thereon, for each day from the date such amount is distributed to such Lender until the date such Lender repays such amount to the Administrative Agent, at the Federal Funds Rate.
Distributions by the Administrative Agent. Each payment received by the Administrative Agent under the Finance Documents for another Party shall, subject to Clause 27.3 (Distributions of the Borrower) and Clause 27.4 (Clawback) be made available by the Administrative Agent as soon as practicable after receipt to the Party entitled to receive payment in accordance with this Agreement, to such account as that Party may notify to the Administrative Agent by not less than five Business Days' notice with a bank in the principal financial centre of the country of that currency.
Distributions by the Administrative Agent. Distributions by the Administrative Agent. Unless the Administrative Agent shall have received notice (which may be by telephone if promptly confirmed in writing) from the Canadian Borrower prior to the date on which any payment is due to the Lenders hereunder that the Canadian Borrower will not make such payment in full, the Administrative Agent may assume that the Canadian Borrower has made such payment in full to the Administrative Agent on such date, and the Administrative Agent may, in reliance upon such assumption, cause to be distributed to each Lender on such due date an amount equal to the amount then due such Lender. If and to the extent that the Canadian Borrower shall not have so made such payment, each Lender shall repay to the Administrative Agent forthwith on demand such amount distributed to such Lender together with interest thereon, for each day from the date such amount is distributed to such Lender until the date such Lender repays such amount to the Administrative Agent, at the Federal Funds Rate.
Distributions by the Administrative Agent. (a) Except as otherwise provided in this Agreement, the Administrative Agent agrees that promptly after its receipt of each payment from or on behalf of any LG User in respect of any of the obligations hereunder (principal, interest and other sums) (the “Obligations”), the Administrative Agent shall distribute such payment to the Participating Banks entitled thereto (other than any Participating Bank that has consented in writing to waive its pro rata share of any such payment) pro rata based upon their respective shares, if any, of the Obligations with respect to which such payment was received.
Distributions by the Administrative Agent. Each payment received by the Administrative Agent under the Finance Documents for another Party shall, subject to Clause 32.3 (Distributions to an Obligor), Clause 32.4 (Clawback) and Clause 29.17 (Deduction from amounts payable by the Administrative Agent) be made available by the Administrative Agent as soon as practicable after receipt to the Party entitled to receive payment in accordance with this Agreement (in the case of a payment to a Participating Creditor under or in respect of a Facility, to its Creditor’s Representative under that Facility and (other than in the case of a USPP Noteholder) for the account of its Facility Office), to such account as that Creditor’s Representative may notify to the Administrative Agent by not less than five Business Days’ notice with a bank in the principal financial centre of the country of that currency (or, in relation to euro, in a principal financial centre in a Participating Member State or London).
Distributions by the Administrative Agent. Unless the Administrative Agent shall have received notice (written or telephonic) from the Borrower prior to the date on which any payment is due to the Lenders hereunder that the Borrower will not make such payment in full, the Administrative Agent may assume that the Borrower has made such payment in full to the Administrative Agent on such date, and the Administrative Agent may, in reliance upon such assumption, cause to be distributed to each Lender on such due date an amount equal to the amount then due such Lender. If and to the extent that the Borrower shall not have so made such payment, each Lender shall repay to the Administrative Agent forthwith on demand such amount distributed to such Lender together with interest thereon for each day from the date such amount is distributed to such Lender until the date such Lender repays such amount to the Administrative Agent at the Federal Funds Rate. To the extent that any Lender has failed, in whole or in part, to fund any Loan or the purchase of any participations hereunder or to make any other payment, in each case, required to be funded or made by such Lender pursuant to this Agreement, the Administrative Agent shall be entitled to set off the funding shortfall against such Lender’s pro rata share of all payments received from or on behalf of the Borrower or any Guarantor or on account of the Collateral.
Distributions by the Administrative Agent. (a) Each payment received by the Administrative Agent under the Finance Documents for another Party shall, subject to Clause 28.3 (Distributions to the Borrower) and Clause 28.4 (Clawback) and to paragraph (b) below, be made available by the Administrative Agent by payment as soon as practicable after receipt to the Party entitled to receive payment in accordance with this Agreement (in the case of a Lender, for the account of its Facility Office), to such account as that Party may notify to the Administrative Agent by not less than five (5) Business Days’ prior notice, with a bank in the principal financial centre of the country of that currency. Any notice given to the Administrative Agent by a Party under this paragraph (a) is only effective when the original notice is received by the Administrative Agent signed by an authorised officer of that Party.
Distributions by the Administrative Agent. Each such distribution by the Administrative Agent to such Protected Party shall be made in accordance with Section 2.07 or Section 2.12(a), as applicable. Upon the request of any Protected Party, the Administrative Agent in its sole discretion may cause to be distributed to such Protected Party on such due date a corresponding amount with respect to the amount then due such Protected Party. If and to the extent the Borrower shall not have so made such payment in full to the Administrative Agent and the Administrative Agent shall have so caused to be distributed to such Protected Party a corresponding amount with respect to the amount then due such Protected Party, such Protected Party shall repay to the Administrative Agent forthwith on demand such amount distributed to such Protected Party together with interest thereon, for each day from the date such amount is distributed to such Protected Party until the date such Protected Party repays such amount, at the Federal Funds Rate for the first three Business Days after demand by the Administrative Agent and at the Applicable Rate thereafter until the date such Protected Party repays such amount to the Administrative Agent.
Distributions by the Administrative Agent. Each payment received by the Administrative Agent under this Agreement and the other Loan Documents for another party shall, subject to the provisions of this Article II, be made available by the Administrative Agent as soon as practicable after receipt to the party entitled to receive such payment in accordance with this Agreement (in the case of a Lender, for the account of such Xxxxxx’s Lending Office), to such account at such bank as notified by such party to the Administrative Agent not less than five (5) Business Days’ before. The Administrative Agent shall distribute payments received by it in relation to all or any part of a Loan to the Lender indicated in the records of the Administrative Agent as being so entitled on that date, provided that the Administrative Agent is authorized to distribute payments to be made on the date on which any transfer becomes effective pursuant to Section 11.06 to the Lender so entitled immediately before such transfer took place regardless of the period to which such sums relate.
