Customer’s Responsibilities. 2.1. A properly configured hardware firewall is required for each Customer Location using a persistent connection to the public internet or any private network where there is a potential for unauthorized access. This requirement is Customer’s responsibility.
2.2. Unless you subscribe to the Network and Security Services option known as “Antivirus Service” (or its successor product), Customer will be required to have and maintain in place third party malware and anti-virus protection software, including periodic and routine updates in accordance with the manufacturer’s recommendations, and security for the Customer’s POS System Network, which security includes unique, strong passwords per user, physical security and access control policies. Customer acknowledges and agrees that security and protection of all of its networks, including the Customer POS System Network, and the data and applications on such networks, including protections against unauthorized access, is Customer’s responsibility. Customer acknowledges that, to be effective, malware protection software, system passwords and other security software and hardware components require periodic and routine updates, which Customer must obtain or perform as applicable. Customer agrees to not use or attempt to install remote access software on the Customer POS System Network unless approved by NCR Voyix.
Customer’s Responsibilities. 9.1 The Customer’s responsibilities are set forth in Schedule C of this Agreement, attached hereto and incorporated herein by reference.
9.2 Customer shall reasonably cooperate with Company as required to facilitate Company’s performance of the Work.
9.3 Company shall have no responsibility or liability under this Agreement for any delay in performance, defective performance or nonperformance to the extent such delay in performance, defective performance or nonperformance is caused by the inability or failure of (a) Customer to cooperate or to perform any tasks or responsibilities contemplated to be performed or undertaken by the Customer in Schedule C or elsewhere in this Agreement or (b) Customer and Company to reach agreement on any matter requiring their mutual agreement under the terms of this Agreement.
Customer’s Responsibilities. 9.1 If and to the extent applicable or under the control of the Customer, Customer shall provide complete and accurate information regarding requirements for the Project and the Site(s), including, without limitation, constraints, space requirements, underground or hidden facilities and structures, and all applicable drawings and specifications.
9.2 Customer shall prepare, file for, and use commercially reasonable efforts to obtain all Required Approvals necessary to perform its obligations under this Agreement.
9.3 Customer shall reasonably cooperate with Company as required to facilitate Company’s performance of the Work.
Customer’s Responsibilities. 10.1 The Customer shall during the term of this Agreement and throughout the Hire Period:
(a) ensure that the Equipment is kept and operated in a suitable environment, used only for the purposes for which it is designed, and operated in a proper manner by trained competent staff in accordance with any operating instructions;
(b) take such steps (including compliance with all safety and usage instructions provided by the Hirer) as may be necessary to ensure, so far as is reasonably practicable, that the Equipment is at all times safe and without risk to health when it is being set, used, cleaned or maintained by a person at work;
(c) ensure (at the Customer’s own expense) the daily maintenance of the Equipment strictly in accordance with the Hirer’s instructions to keep the Equipment in good and substantial repair and in as good an operating condition as it was on the Delivery Date or date of Pick-Up (fair wear and tear only excepted);
(d) comply with all handover instructions provided by the Hirer on installation of the Equipment;
(e) make no alteration to the Equipment and shall not remove any existing component (or components) from the Equipment without the prior written consent of the Hirer Title and property in all substitutions, replacements, renewals made in or to the Equipment shall vest in the Hirer immediately on installation;
(f) keep the Hirer fully informed of all material matters relating to the Equipment;
(g) keep the Equipment at all times at the Delivery Address and shall not move or attempt to move any part of the Equipment to any other location without the Hirer's prior written consent;
(h) permit the Hirer or its duly authorised representative to inspect and carry out any maintenance and/or repair work on the Equipment at all reasonable times and for such purpose to enter on the Delivery Address or any premises at which the Equipment may be located, and shall grant reasonable access and facilities for such inspection and maintenance and/or repair;
(i) not, without the prior written consent of the Hirer, part with control of (including for the purposes of repair or maintenance), sell or offer for sale, underlet or lend the Equipment or allow the creation of any mortgage, charge, lien or other security interest in respect of it;
(j) not without the prior written consent of the Hirer, attach the Equipment to any land or building so as to cause the Equipment to become a permanent or immovable fixture on such land or building. If the Equipmen...
Customer’s Responsibilities. 11.1 The Customer shall during the term of this agreement:
(a) ensure that the Equipment is kept and operated in a suitable environment, which shall as a minimum meet the requirements set out in Specific Terms for the Equipment, used only for the purposes for which it is designed, and operated in a proper manner by trained competent staff in accordance with any operating instructions provided by Tardis;
(b) take such steps (including compliance with all safety and usage instructions provided by Tardis) as may be necessary to ensure, so far as is reasonably practicable, that the Equipment is at all times safe and without risk to health when it is being set, used, cleaned or maintained by a person at work;
(c) maintain at its own expense the Equipment in good and substantial repair in order to keep it in as good an operating condition as it was on the Hire Commencement Date (fair wear and tear only excepted) including replacement of worn, damaged and lost parts, and shall make good any damage to the Equipment;
(d) make no alteration to the Equipment and shall not remove any existing component(s) from the unless carried out to comply with any mandatory modifications required by law or any regulatory authority or unless the component(s) is/are replaced immediately (or if removed in the ordinary course of repair and maintenance as soon as practicable) by the same component or by one of a similar make and model or an improved/advanced version of it. Customer’s Responsibilities. The Customer shall be responsible for the following: (a) choosing its network accessibility provider, notably in terms of security options, (b) compliance with Axway’s recommende d minimum technical specifications required to use the Subscription Services, (c) ensuring the confidentiality and the custody of the credentials communicated by Axway, (d) protecting the personal laptops accessing the Subscription Services, (e) the results obtained by using the Subscription Services and any direct or indirect consequences thereof, and (f) appointing one of its employees to serve as the primary point of contact with Axway for any technical issues.
Customer’s Responsibilities. 2.1. The Customer acknowledges that, should he breach any of these Terms and Conditions, the Bank shall be entitled, without notice, to cancel this agreement and withdraw the facilities under the systems with immediate effect, without prejudice to any rights it may have to recover any amount due to it or any losses or any damages suffered by it in consequence of the Customer’s breach.
2.2. Any software downloaded by the Customer from the Internet, whether from the Bank’s Internet site or not, is third party software, the licensing of which shall be subject to such Terms and Conditions as the licensor of such software may impose. The Bank is not party to any license agreement entered into by the Customer and thus makes no warranties relating to such software, including without limitation, warranties relating to suitability for a particular purpose, security features or performance. The Customer understands that the use of such software shall be at his own risk and he hereby absolves and holds the Bank harmless against any loss or damage which he may suffer as a result of the use, abuse or possession of such software.
2.3. The Customer must not include any obscene, libellous or defamatory content in his communications.
2.4. The Customer acknowledges that he should not be entitled to cede, transfer or make over his rights in and to the facilities or the use of the systems, or any of them, to any person.
2.5. The Customer represents and warrants to Bank One that this agreement constitutes the Bank’s duly, authorised, legal, valid, binding and enforceable obligation.
2.6. The Customer shall ensure that all data transmitted to or from Bank One through ONE CLICK is correct and shall advise the Bank immediately of any errors or discrepancies.
2.7. For Scheduled Transfers, Recurring Transfers and Salary Uploads the Customer shall ensure that there are sufficient funds in the account to be debited at start of business on the scheduled day.
Customer’s Responsibilities. 2.1. The Customer should exercise due care when receiving information from the Bank on his mobile phone by ensuring that third parties do not have access to such information and/or by refraining from disclosing such information to third parties. It is advisable that the Customer deletes SMS Alerts he no longer requires in order to minimize the potential risk in case his mobile is stolen.
2.2. The Customer shall notify the Bank promptly on telephone number ▇▇▇ ▇▇▇▇ or send an email to ▇▇▇▇▇▇▇▇@▇▇▇▇▇▇▇.▇▇ for any change in his designated mobile number or upon loss/theft of his mobile phone. If the notice is received within business hours the service will be stopped on the same day. However, if the notice is received after business hours, the service will be stopped on next working day.
2.3. Customers may request for termination of the SMS Alerts Service any time by giving notice in writing or by sending an email to ▇▇▇▇▇▇▇▇@▇▇▇▇▇▇▇.▇▇. The service will be discontinued within 2 working days after receipt of such notice by the Bank.
2.4. The Customer acknowledges that his mobile number must be active and accessible in order to receive alerts.
2.5. The Customer acknowledges that some alerts will be generated as and when the particular event happens.
Customer’s Responsibilities. (A) Expedite Charges In the event Customer requests expedited services and/or changes to Service Requests and WorldCom agrees to such request, WorldCom will pass through the charges assessed by any supplying parties (e.g., local access providers) for such expedited charges and/or changes to Service Requests involved at the same rate to Customer. WorldCom may further condition its performance of such request upon Customer's payment of such additional charges to WorldCom.
(B) Fraudulent Calls Customer shall indemnify and hold WorldCom harmless from all costs, expenses, claims or actions arising from fraudulent calls of any nature which may comprise a portion of the Switched Services to the extent that the party claiming the call(s) in question to be fraudulent is (or had been at the time of the call) an End User of such Switched Services through Customer or an end user of the Switched Services through Customer's distribution channels. Customer shall not be excused from paying WorldCom for Switched Services provided to Customer or any portion thereof on the basis that fraudulent calls comprised a corresponding portion of the Switched Services. In the event WorldCom discovers fraudulent calls being made (or reasonably believes fraudulent calls are being made), nothing contained herein shall prohibit WorldCom from taking immediate action (without notice to Customer) that is reasonably necessary to prevent such fraudulent calls from taking place, including without limitation, denying Switched Services to particular ANIs or terminating Switched Services to or from specific locations.
Customer’s Responsibilities. Axon’s successful performance of the Channel Services requires Customer:
8.1. Make available its relevant systems for assessment by Axon (including making these systems available to Axon via remote access);
8.2. Provide access to the building facilities and where Axon is to perform the Channel Services, subject to safety and security restrictions imposed by the Customer (including providing security passes or other necessary documentation to Axon representatives performing the Channel Services permitting them to enter and exit Customer premises with laptop personal computers and any other materials needed to perform the Channel Services);
8.3. Provide all necessary infrastructure and software information (TCP/IP addresses, node names, and network configuration) for Axon to provide the Channel Services;
