Good Faith Cooperation. The Parties will cooperate with each other in good faith in all matters relating to the provision and receipt of the Services.
Good Faith Cooperation. The parties shall in good faith undertake to perform their obligations in this Agreement, to satisfy all conditions and to cause the transactions contemplated by this Agreement to be carried out promptly in accordance with its terms. The parties shall cooperate fully with each other and their respective representatives in connection with any actions required to be taken as part of their respective obligations under this Agreement.
Good Faith Cooperation. The parties to this Agreement shall cooperate fully in the execution of any and all other documents and in the completion of any additional actions that may be necessary or appropriate to give full force and effect to the terms and intent of this Agreement.
Good Faith Cooperation. With respect to all marketing responsibilities set forth herein, Participating Agency and AT&T agree to cooperate in good faith to assist AT&T in achieving its Service marketing goals, including but not limited to making Participating Agency’s employees aware of the available discounts offered under this Participation Agreement.
Good Faith Cooperation. The Parties shall promptly do and perform such further acts, matters, or things and execute and deliver all further instruments required by law or which may be reasonably requested by any Party to establish, maintain, and protect the respective rights and remedies of any Party and to carry out and effect to the intent and purposes of this Agreement.
Good Faith Cooperation. Trubion shall (a) cooperate with Lonza to facilitate its performance of Services hereunder, (b) deal honestly and in good faith with Lonza, and (c) disclose any material information necessary for Lonza to perform Services hereunder in a timely fashion, subject to the terms set forth herein. Lonza shall, and shall cause its permitted Subcontractors to: (d) cooperate and deal honestly and in good faith with Trubion with regard to all matters hereunder, and (e) disclose any material information necessary for Trubion to receive the full benefit of Lonza's Services, subject to the terms set forth herein.
Good Faith Cooperation. It is the express intent of this Agreement that the Parties cooperate and diligently work to implement any of the Existing Development Approvals. If Developer elects, in its sole discretion, to request City to incur overtime or additional consulting services to receive expedited processing by City, Developer shall pay all such overtime costs, charges or fees incurred by City for such expedited processing and City agrees to expedite processing of any Development Approvals, building permits and other permits and approvals required for the Project, including, without limitation, by authorizing overtime payments to its employees and contractors as reasonably required to expedite processing.
Good Faith Cooperation. Subject to the terms and ---------------------- conditions herein provided, the parties to this Agreement shall (a) use their best efforts to cooperate with each other in (i) determining which filings are required to be made prior to the Closing Date with, and which consents, approvals, permits or authorizations are required to be obtained prior to the Closing Date from Governmental Authorities, third party secured and unsecured lenders and rating agencies in connection with the execution and delivery of this Agreement and the transactions contemplated hereby, (ii) timely making all such filings and timely seeking all such consents, approvals, permits or authorizations and (iii) preparing such financial statements (including pro forma financial statements) as may be required by the Company or the Operating Company for incorporation in the Information Statement, any registration statement contemplated by Section 7.10 hereof, or any filing required to be made ------------ with the SEC or as may otherwise be required to enable the Company to satisfy its obligations under applicable law or regulations; (b) use their best efforts to obtain in writing any consents required from third parties necessary to effectuate the transactions contemplated hereby; and (c) use their best efforts to take, or cause to be taken, all other actions and do, or cause to be done, all other things necessary, proper or appropriate to consummate and make effective the transactions contemplated by this Agreement. If, at any time after the Closing Date, any further action is necessary or desirable to carry out the purpose of this Agreement, the proper officers and directors and other duly authorized representatives of the parties hereto shall take all such necessary action.
Good Faith Cooperation. The Parties will use good faith efforts to cooperate with each other in all matters relating to the provision and receipt of Services. Such cooperation shall include, to the extent applicable, exchanging information, providing electronic access to systems used in connection with Services, and performing true ups and adjustments. The Parties will cooperate with each other in making information available as needed in the event of a tax audit related to the Services, whether in the United States or any other country.
Good Faith Cooperation. The Parties agree to use good faith in the performance of their respective duties and obligations under this Agreement. The Parties further agree to take such additional actions, from time to time, as may be necessary to carry out the purposes and intent of this Agreement including, but not limited to, the execution of further documentation.
