Content of Licensed Materials; Grant of License. The materials that are the subject of this Agreement shall consist of (hereinafter referred to as the "Licensed Materials"). Licensee and its Authorized Users acknowledge that the copyright and title to the Licensed Materials and any trademarks or service marks relating thereto remain with Licensor. Neither Licensee nor its Authorized Users shall have right, title or interest in the Licensed Materials except as expressly set forth in this Agreement. Licensor hereby grants to Licensee non-exclusive use of the Licensed Materials and to provide the Licensed Materials to Authorized Users in accordance with this Agreement.

The Licensed Materials are owned and copyrighted by VNIP. This license confers no title or ownership in the Licensed Materials and should not be construed as a sale of any right in the Licensed Materials. The Licensed Materials are protected by United States copyright law and international treaty provisions. Licensee acknowledges that no title to the intellectual property in the Licensed Materials is transferred to it. Licensee further acknowledges that title and full ownership rights to the Licensed Materials will remain the exclusive property of Vermont Nurses In Partnership, Inc and that Licensee will not acquire any rights to the Licensed Materials except as expressly set forth in this license. Licensee also agrees that any copies of the Licensed Materials will contain the same proprietary notices that appear on and in the Licensed Materials. Licensee agrees that the Licensed Materials will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.
