Export Administration Act. Regardless of any disclosure by Customer to GeoQuest of the contemplated ultimate destination of the Products, Customer shall not export or re-export, directly or indirectly, any Product (or the "direct product" of any software Product) without first obtaining an export (or re-export) license from the Department of Commerce or other agency of the United States Government, as required.
Export Administration Act. Licensee shall not export or re-export the Software, Derivative Works, or Licensee Products in violation or contravention of such legal restrictions, and indemnifies and holds harmless Airvana for any claim, investigation, or assertion inconsistent with this duty.
Export Administration Act. Customer agrees that unless prior written authorization is obtained from the United States Bureau of Export Administration, or the United States Export Administration Regulations explicitly permit the re-export without such written authorization, or from any other applicable governmental authority it will not export, re-export, or transship, directly or indirectly, the Product or any technical data disclosed or provided to Customer, or the direct product of such technical data, to country groups Q, S, W, Y or Z (as defined in the Export Administration Regulations) or to any other country as to which the US or other Government has placed an embargo against the shipment of products, or types of products, which is in effect during the term of this Agreement.
Export Administration Act. To Sellers’ Knowledge, none of Sellers or any officer, director, employee, agent or Representative of Sellers or any other Person associated with or acting for on behalf of Sellers has furthered or supported any foreign boycott in violation of the Anti-Boycott laws and regulations of the United States promulgated pursuant to the Export Administration Act of 1979.
Export Administration Act. Netgen shall not export or re-export any MicroStrategy Product, Documentation, or technical data of MicroStrategy to any country, person entity or end user to which such export would be a violation of any applicable export restriction. Restricted countries for the purposes of U.S. law and regulations currently include, but are not necessarily limited to, Cuba, Iran, Iraq, Libya, North Korea, the Sudan and Syria. Netgen shall do all things necessary to comply with all applicable laws, rules and regulations concerning exports of products and technical data of MicroStrategy.
Export Administration Act. In conformity with the United States -------------------------- Export Administration Act and regulations promulgated thereunder, Distributor and its employees and agents shall not disclose, export or re-export, directly or indirectly, any Software Copies or technical data (or direct products thereof) provided under this Agreement to destinations in Country Groups Q, S, W, Y and Z as modified from time to time by the U.S. Department of Commerce, or that are otherwise controlled under said Act and regulations.
Export Administration Act. Training Provider agrees and understands that the products, services and any technical data, provided by Autodesk under this Agreement are subject to United States laws and regulations, which may restrict or prohibit re-sales or other transfers to other countries and parties. Training Provider agrees that no products, services or technical information provided under this Agreement will be exported, transferred, or disclosed contrary to the applicable laws and regulations of the United States, or to any country, entity or other party which is ineligible to receive such items under U.S. laws and regulations, including regulations of the U.S. Department of Commerce or the U.S. Department of the Treasury. Training Provider agrees and understands it shall be solely responsible for (i) complying with applicable U.S. laws and regulations and (ii) monitoring any modifications to them. Solely for information purposes, and without any obligation on the part of Autodesk to provide additional or updated information, further information about relevant U.S. laws and regulations is typically provided at websites maintained by the U.S. Treasury Department [xxxx://xxx.xxxxxxx.xxx/ofac/] and the U.S. Commerce Department [xxxx://xxx.xxx.xxx.xxx/]. Training Provider shall also be solely responsible for (i) complying with applicable laws and regulations of Training Provider’s country which restrict or prohibit exports and (ii) monitoring any modifications to such laws and regulations. Training Provider’s failure to comply with U.S. foreign trade and export laws and regulations, or those of Training Provider’s country, shall be deemed a material breach of this Agreement. Training Provider shall notify Autodesk immediately upon learning that it has exported, transferred or disclosed any Autodesk product or service to any country, entity or other party which is ineligible to receive such items under U.S. laws and regulations or those of Training Provider’s country. Training Provider shall contractually require its customers to comply with U.S. foreign trade and export laws and regulations and those of its customers’ country. Training Provider agrees to indemnify Autodesk against any claim demand, action, proceeding, investigation, loss, liability, cost and expense, including attorney’s fees, suffered or incurred by Autodesk arising out of or related to any violation (whether intentional or non-intentional) by Training Provider, its employees, agents, representatives or customers ...
