Consequences of Buyer’s Early Termination. This Agreement shall immediately terminate upon the giving of a Disapproval Notice or upon deemed disapproval pursuant to Section 3.5, as applicable, and the parties shall be released from all further obligations under this Agreement (except with respect to any provisions that by their terms expressly survive a termination of this Agreement); provided, however and notwithstanding anything to the contrary contained in this Agreement, that if Seller is in default hereunder at the time of such termination, Section 6.2 shall additionally apply. Escrow Holder shall pay the entire Deposit to Buyer not later than one (1) Business Day following receipt of Buyer's Disapproval Notice or Buyer’s deemed disapproval of the Property pursuant to Section 3.5. Notwithstanding anything to the contrary contained in this Agreement, no notice to Escrow Holder from Seller shall be required for the release of the Deposit to Buyer by Escrow Holder under this Section, and the Deposit shall be released and delivered to Buyer upon Escrow Holder's receipt of Buyer's Disapproval Notice or upon Buyer’s deemed disapproval of the Property pursuant to Section 3.5, despite any objection or potential objection by Seller.

No notice to Escrow Agent from Seller shall be required for the release of the Deposit to Buyer by Escrow Agent under this Section, and the Deposit shall be released and delivered to Buyer upon Escrow Agent’s receipt of Buyer’s confirmation of termination of the Agreement pursuant to this Article 3, despite any objection or potential objection by Seller. If Buyer delivers an Approval Notice, the Deposit shall be deemed non-refundable to Buyer, except as set forth herein.

In the event of either such termination, the Deposit (and any interest accrued thereon) shall immediately be returned to Buyer without any further action required from either party and neither party shall have any continuing obligations hereunder, other than the provisions of this Agreement that are expressly stated to survive the termination hereof.

Upon the giving of notice of termination on or before the last day of the Review Period or under Section 3.5, this Agreement shall immediately terminate, the parties shall be released from all further obligations under and shall have no liability arising out of this Agreement (except with respect to any provisions that by their terms survive a termination of this Agreement). Escrow Agent shall immediately pay the entire Deposit plus any accrued interest to Buyer.
