Problem/ Solution Statement Problem California’s forest health crisis is an emergency of unprecedented scope and scale, with disastrous implications for the state’s environment, economy, energy systems, and human life. Unlike essentially all other technologies and solutions proposed to respond to the crisis, gasification has the potential to process forest waste in a way that extracts value and sequesters a large portion of its carbon. Before the recipient’s development of the pre- commercial Powertainer technology, no one had developed gasification technology that could economically respond to the problem. As a result, there have not yet been any large-scale deployments of distributed, commercial-scale gasification technology. The acceleration of tree mortality and persistent drought conditions make finding solutions to this problem more critical with each passing day.
Alternative to Litigation 13.2.1 The Parties desire to resolve disputes arising out of this Agreement without litigation. Accordingly, the Parties agree to use the following Dispute Resolution procedures with respect to any controversy or claim arising out of or relating to this Agreement or its breach.

Change in Status In the event of any substantive change in its legal status, organizational structure, or fiscal reporting responsibility, Contractor will notify HCA of the change. Contractor must provide notice as soon as practicable, but no later than thirty (30) calendar days after such a change takes effect.
Ownership, Use and Return of Offering Materials The Offering Materials shall continue to be the property of the Owner and HFF. The Offering Materials will be used by the Potential Investor solely for the purpose of evaluating the possible acquisition of the Property and not for any purpose unrelated to the possible acquisition of the Property. The Offering Materials may not be copied or duplicated without the Owner's and HFF’s prior written consent, and must be returned to HFF (or with HFF’s permission, destroyed by Potential Investor and any Related Party, and in such instance Potential Investor shall certify in writing to HFF and Owner that such information has been so destroyed) immediately upon request or when the Potential Investor declines to make an offer for the Property or terminates any discussions or negotiations with respect to the Property.
