Contractor and County Sample Clauses

Contractor and County mutually agree to maintain the confidentiality of Contractor’s patient records and information, in compliance with all applicable State and Federal statutes and regulations, including but not limited to HIPAA and California Welfare and Institutions Code, Section 5328. Contractor shall inform all of its officers, employees and agents of the confidentiality provisions of all applicable statutes.

Contractor and County approved subcontracted service provider partners’ services rendered to participants shall be entered into HMIS within the required number of calendar days from date of service as set forth by the HMIS Policies and Procedures.
Contractor and County approved subcontracted service provider partners must input the collected data no more than the required number of calendar days after date of program entry as set forth by the Continuum of Care’s HMIS Policies and Procedures.
Contractor and County shall develop a written service plan for each patient including milestones/goals to be achieved prior to discharge. Such plan shall utilize treatment resources available to CONTRACTOR.

Contractor and County acknowledge the probability that the services and supporting technologies provided under this Agreement will change and improve during the Term of this Agreement. County desires the flexibility to incorporate into the service, any new services and technologies as they may become available.
Contractor and County have reviewed and considered the principal test and secondary factors below and agree that CONTRACTOR is an independent contractor and not an employee of COUNTY. CONTRACTOR is responsible for all insurance (workers compensation, unemployment, etc.) and all payroll related taxes. CONTRACTOR is not entitled to any employee benefits. Contractor and County. Program Manager, or designee, shall conduct a mid-year review of the training schedule calendar to make modifications and to ensure that the KEPS training needs of COUNTY are met.
Contractor and County acknowledge and agree that these SOS services shall be scheduled, quoted and billed separately from Help Desk Support but the services shall be invoiced under the same Contract number. Contractor must receive written approval from County Project Manager to charge hourly rates for services beyond the scope of Help Desk support, as per Attachment B.
