Centre Management. (a) The Centre Operator will provide the Services and use commercially reasonable endeavour to maintain the Equipment and facilities in a good and workmanlike manner. The Centre Operator does not warrant or represent that the Services or the use of the Equipment will be uninterrupted or error free nor warrant or represent any result from the use of the Services or the Equipment. A service level agreement in relation to particular Services may set out the exclusive remedy for any interruption or error in the Services.

Centre Management. The YMCA will manage the Centre on behalf of the Shire in accordance with the Management Plans approved by the Management Committee pursuant to clause 3(1) and covenants with the Shire that in the management of the Centre it will:
Centre Management. As soon as reasonably practicable after the Centre Start Date, the parties will agree their responsibilities with respect to the governance of the Centre, which may include the establishment of a Management Committee comprising: 2 nominees from UNSW; 2 nominees from the Collaborating Organisation(s); and up to 2 nominees from the Partner Organisation(s). A member of the Management Committee nominated by UNSW will chair the Management Committee. The Management Committee will have general oversight of the conduct of the Centre, including matters relating to the progress, direction and results of the Centre and any disclosure of Project Intellectual Property. The Management Committee will promptly report to UNSW any Project Intellectual Property developed by the Centre. The following matters may be considered at the first meeting of the Management Committee: frequency and format of meetings to discuss the progress of the Centre; obligations to take and keep minutes of meetings; protocols for making decisions in relation to the conduct of the Centre; and protocols for identifying, protecting and disclosing Project Intellectual Property. The Management Committee may conduct its meetings by teleconference or videoconference. The Management Committee may make decisions and take action as required under this agreement to carry out the activities of the Centre. The decision of a majority of the members of the Management Committee will be binding. In the event of an even number of votes, the chair will have the deciding vote. To avoid doubt, the Management Committee does not have the power to make any decisions in relation to Intellectual Property Rights or vary this agreement including to vary: the Total Contributions; or content or scope of the activities of the Centre.

  • Asset Management Supplier will: i) maintain an asset inventory of all media and equipment where Accenture Data is stored. Access to such media and equipment will be restricted to authorized Personnel; ii) classify Accenture Data so that it is properly identified and access to it is appropriately restricted; iii) maintain an acceptable use policy with restrictions on printing Accenture Data and procedures for appropriately disposing of printed materials that contain Accenture Data when such data is no longer needed under the Agreement; iv) maintain an appropriate approval process whereby Supplier’s approval is required prior to its Personnel storing Accenture Data on portable devices, remotely accessing Accenture Data, or processing such data outside of Supplier facilities. If remote access is approved, Personnel will use multi-factor authentication, which may include the use of smart cards with certificates, One Time Password (OTP) tokens, and biometrics.

  • Financial Management (a) The Recipient shall ensure that a financial management system is maintained in accordance with the provisions of Section 2.09 of the Standard Conditions.

  • Account Management 15.1 The Contractor is required to provide a dedicated Strategic Account Manager who will be the main point of contact for the Authority. The Strategic Account Manager will:  Attend quarterly, or as otherwise agreed, review meetings with the Authority, in person at the Authority’s premises or other locations as determined by the Authority  Attend regular catch-up meetings with the Authority, in person or by telephone/videoconference  Resolve any on-going operational issues which have not been resolved by the Contractor or Account Manager(s) and therefore require escalation  Ensure that the costs involved in delivering the Framework are as low as possible, whilst always meeting the required standards of service and quality.
