Cash Retention Bonus. You will be eligible to receive a special cash retention bonus (your “Cash Retention Bonus”) equal to the amount set forth in the Schedule. You will receive your Cash Retention Bonus on the timeline outlined in the Schedule only if you are an employee of the Company on the applicable date of payment. Additionally, you shall receive your remaining Cash Retention Bonus payments if you are involuntarily terminated by the Company without “Cause” (as defined in the Schedule). You shall not receive any portion of your Cash Retention Bonus if you cease to be an employee of the Company prior to the applicable payment date if the Company terminates your employment for Cause or if your employment terminates as a result of your voluntary resignation for any reason.

Cash Retention Bonus. You will be eligible to receive a Cash Retention Bonus in the aggregate amount of $375,000.00, which will vest and be paid to you in three equal annual installments on December 15, 2021, December 15, 2022, and December 15, 2023, subject to your continued employment with the Company or a subsidiary through each such vesting date. Each vested installment of your Cash Retention Bonus will be paid on the first regularly scheduled payday following the applicable vesting date, less all applicable federal, state and local taxes. Except as otherwise provided in Section 3(b) below, upon your termination of employment with the Company and its subsidiaries for any reason, you will immediately forfeit your right to receive any Cash Retention Bonus installment payments that are unvested as of your termination date.

Cash Retention Bonus. Subject to the terms and provisions of the Award, the undersigned has been granted the right to receive a cash payment following the end of the Performance Period (as defined below), with the payment to be equal to $[●] at Threshold Performance, $[●] at Target Performance and $[●] at Maximum Performance, as the case may be, in respect of and for the four-year performance period beginning on the Grant Date and ending on the fourth anniversary of the Grant Date (the “Performance Period”). Threshold Performance, Target Performance and Maximum Performance are set forth in Section 6 below. Subject to earlier vesting pursuant to Section 6 below, the Award shall cliff-vest on the fourth anniversary of the Grant Date.
Cash Retention Bonus. The Company shall pay the Executive a lump sum cash retention bonus in the amount of $375,000 (the "Cash Retention Bonus"), so long as the Executive remains continuously employed with the Company and the Bank through December 31, 2026 with such amount payable in the next regular payroll following such date. If Executive remains employed through December 31, 2027, Executive is eligible to receive an additional lump sum cash payment in the amount of $125,000 ("Cash Retention Enhancement Bonus"), with such amount payable in the next regular payroll following December 31, 2027. In the event of a Change in Control or Executive's death prior to the payment of the Cash Retention Bonus or the Cash Retention Enhancement Bonus, Executive shall be entitled to any unpaid Cash Retention Bonus or, if the death or Change in Control is on or after January 1, 2027, Cash Retention Enhancement Bonus within 30 days of the Change in Control or Executive's death, as applicable. If the Bank or the Company terminates Executive's employment without Cause or Executive terminates his employment for Good Reason, Executive shall be entitled to any unpaid Cash Retention Bonus or, if the termination is on or after January 1, 2027, Cash Retention Enhancement Bonus, in the regular payroll following the effective date of the release of claims described in Section 4(e)(iv) of this Agreement.
