Target Performance definition

Target Performance means the Performance Goal achievement required for the targeted distribution with respect to a Performance Share, as set out in Appendix A. If Target Performance is achieved but not exceeded for all Performance Goals, the Unadjusted Share Distribution with respect to a Performance Share is one share of the Company’s voting common stock (“Share”).

Target Performance shall have the meaning set forth in Section 10(a) below.

Target Performance for purposes of this Agreement shall mean (i) the actual performance for each completed year under each applicable award, plus (ii) the "target" performance for the then current year under each applicable award;

Target Performance means the Company has achieved Total Shareholder Return of ten percent (10%).

The target levels of achievement for the performance goal will be announced to Employee by no later than March 15, 2009, following calculation of year-end financial reporting for 2008. Subject to adjustment pursuant to Subsection 3(b), 3(c) and 3(d), each such percentage correlates to a number of Performance Share Units that may be earned under this Award, as follows:
