BSC Tooling Sample Clauses

BSC Tooling. Any tooling supplied by BSC to or purchased by BSC from GB is and remains the property of BSC. Clearly visible asset tags will be assigned and applied to all such tooling specifying Boston Scientific as the owner of that tooling. GB will (a) store and maintain all BSC tooling in good working condition, (b) insure it at full replacement value under an all-risk policy of property insurance endorsed to name BSC as an additional insured with respect to such tooling, and (c) not relocate said tooling without the express written permission of BSC. All direct charges for maintenance, repair or replacement after expiration of useful life of any BSC tooling by GB or any third party, other than that which may be caused by misuse of any tooling or breach hereof by GB, will be the sole financial responsibility of BSC. GB will use BSC tooling only in the manufacture of Products pursuant to this Agreement and will return said tooling without cost other than freight and packaging charges to BSC at any time upon the written request of BSC.

  • Artwork 16.01. Artist agrees that G2 is the owner of any and all artwork, LP jacket art, and promotional artistic renderings undertaken or completed within the Option Terms of this Agreement. Artist shall have the right to use artwork which has been mutually approved by G2 and Artist for the purpose of Merchandising.

  • Software Warranty NETGEAR warrants to the end-user that each item of Software, as delivered or updated by NETGEAR and properly installed and operated on the Hardware or other equipment it is originally licensed for, will function substantially as described in its then-current user documentation during its respective warranty period. If any item of Software fails to so perform during its warranty period, as the sole remedy NETGEAR or NETGEAR's supplier will at its discretion provide a suitable fix, patch or workaround for the problem which may be included in a future revision of the Software. For specific Software which is distributed by NETGEAR as a licensee of third parties, additional warranty terms offered by such third parties to end-users may apply.

  • Spare Parts Contractor shall be responsible for obtaining vendor recommendations for spare parts and delivering such recommendations and spare parts to Owner in accordance with Section 3.4 of the Agreement.

  • Third Party Software Customer acknowledges that in order for MyEcheck to perform the Consulting Services, Customer may need to obtain additional third party services ("Third Party Services") or third party technology ("Third Party Technology"). Customer agrees that the rights and licenses with respect to Third Party Technology and Third Party Services shall be under terms set forth in the pertinent purchase, license or services agreements between Customer and the vendors of such Third Party Software or Third Party Services. Customer shall execute and comply with appropriate purchase, license, or services agreements with respect to any Third Party Software or Third Party Services. Any amounts payable to third party vendors or service providers under such agreements are the sole responsibility of Customer and shall be paid directly by Customer to such third party vendors or service providers.
