Brokerage Representation. Lessor and Lessee acknowledge Xxxx Xxxxxxx and Xxxx Xxxxxx of Xxx & Associates-Newport Beach represent the Lessor (“Lessor’s broker”) and Xxxx Xxxxxx with CBRE, Inc. is representing the Lessee (“Lessee’s broker”) and no other brokers are a party to this transaction. Lessor shall be responsible to pay six percent (6%) of the Total Lease consideration for the Lease Term. Such fees shall be paid one hundred percent (100%) upon Lease Extension execution. Except as expressly amended above, all terms, provisions and conditions of the original Lease and those amended in the First Amended shall remain, unchanged and in full force and effect. In the event of any conflict or inconsistency between the terms and provisions of the Lease, the First Amendment, and Second Amendment the terms and provisions of this Third Amendment shall control. Brokerage Representation. Landlord and Tenant each represent and warrant that it has had no dealings or conversations with any real estate broker in connection with the negotiation and execution of this Lease, except the brokers specified in Section 1. Landlord and Tenant each agree to indemnify the other against all liabilities arising from any claim of any real estate brokers not listed in Section 1 of this Lease, including cost of counsel fees, resulting from the respective acts of Landlord and Tenant.
Brokerage Representation. Seller and Purchaser hereby mutually represent and warrant unto the other that neither Seller nor Purchaser has retained or accepted the services of any real estate broker, agent or salesperson in connection with the purchase and sale transaction contemplated by this Agreement.
Brokerage Representation. The parties acknowledge that they are not represented by any real estate brokers nor agents in this transaction, and each party shall indemnify and hold the other party harmless from and against any and all claims for brokerage or real estate commissions made by any person claiming though the other party.
Brokerage Representation. Tenant hereby represents and warrants to Landlord that it did not see the Demised Premises with, nor was it introduced to the Demised Premises by, any real estate broker or agent thereof. Tenant further represents and warrants that it knows of no person who is entitled to a real estate brokerage commission or sum in lieu thereof in connection with the execution of this lease or the creation of the tenancy effected by this lease. 34.
Brokerage Representation. Sublessor has dealt exclusively with Cornish & Xxxxx Commercial, a licensed real estate broker ("Sublessor's Brokers"), in arranging this Sublease. Sublessor, pursuant to a separate written contract, between Sublessor and Sublessor's Broker, shall pay the compensation which said contract provides. Sublessee shall indemnify, protect, defend and hold Sublessor harmless against the claims of any other finder or real estate licensee who may claim compensation from Sublessor on account of the transaction evidenced by this Sublease.
Brokerage Representation. Tenant represents to Landlord that Tenant has not dealt with any broker or agent in connection with this Sixth Amendment, and no broker or agent negotiated this Sixth Amendment. Tenant agrees to indemnify, defend and hold Landlord, its asset manager, its property manager and their respective employees, harmless from and against any claims for a fee or commission made by any broker or agent claiming to have acted by or on behalf of Tenant in connection with this Sixth Amendment.
Brokerage Representation. Tenant represents it has not had any deals with any Realtor, broker, agent, or finder, in connection with the procuring or negotiation of this Lease other than Commercial Partners Realty, Inc. (CPR) whom will be compensated by Landlord according to a written agreement between Xxxxx Xxxxxxxxxx of CPR and Xxxxxx Xxxxxxx of D.C.S. Real Estate, Inc. further, Tenant hereby indemnifies and waives any claim against Landlord for any such fee unless stated in writing to the contrary.
Brokerage Representation. Each party severally represents and warrants that no broker’s or finder’s fees or commissions or management or advisory fees are, will or may become payable in connection with the transactions contemplated by the Operative Documents, except (i) as specifically agreed in writing by the Lessee or the Guarantor (and for the payment of which the Lessee or the Guarantor is solely responsible); (ii) as may be specifically provided in Schedule V hereto and (iii) or as specifically provided in the Operative Documents.
Brokerage Representation. Tenant and Landlord each represents and warrants to the other that it has not dealt with any real estate broker, agent or salesman so as to create any legal right or claim in any such broker, agent or salesman for a real estate commission or similar fee or compensation with respect to the negotiation and/or execution of this Lease. Each Party agrees to indemnify, defend and hold the other Party harmless from and against any and all Damages that either Party may sustain or incur by reason of any claim for fees or commissions made through the other Party.
