BRIBERY AND COLLUSION. Should a Supplier or any of their agents give or offer any gratuity to or attempt to bribe any member of the Board, or attempt to commit fraud, the Board shall be at liberty to cancel the Suppliers contract.
BRIBERY AND COLLUSION. Should a Supplier or any of their agents give or offer any gratuity to or attempt to bribe any member of the Board, or attempt to commit fraud, the Board shall be at liberty to cancel the Suppliers contract. ACCESS TO THE SCHOOL SITE All persons who are required to access school sites during regular hours of school operation must contact the school office upon arrival for further instruction. All work in the occupied areas of facilities must be carefully coordinated with a Board representative to prevent disruption of services and other activities. MOTORIZED VEHICLES ON SCHOOL PROPERTY While on the Board’s property, the driver of the vehicle and their assistant(s) must comply with the following: Prior to entering onto Board property, the vehicle, driver and any assistant(s) must have valid insurance coverage for any accidents occurring on the Board’s property Vehicles shall not be driven in the schoolyard when students are in the area unless directed by or with permission of the Principal. Drivers must wait for the yard to clear before entering or leaving Vehicles must not be driven at a speed exceeding 8 kilometres per hour No vehicle shall be backed up unless there is a person on foot to guide the driver No vehicle shall be left running while parked on the Board’s property When returning to an unattended vehicle, the driver must circle the vehicle to ensure that no child is hiding behind or under the vehicle before it is driven Drivers of motor vehicles shall not operate their vehicles beyond the parking areas; and all accidents, which occur on school property, must be immediately reported to the school Principal. INTELLECTUAL PROPERTY Materials developed by the Supplier in connection with a Purchase Order will become the exclusive property of the Board and will be delivered to the Board by the Supplier immediately upon the Board providing notice of such request. The Supplier agrees that all present and future rights in the copyright in the materials developed in connection with a Purchase Order shall be vested absolutely and immediately in the Board. Furthermore the Supplier agrees to confirm the above by executing a written assignment in any form requested by the Board and delivering this assignment to the Board on or before the end of the term with the deliverables.   • Anti-Bribery RECIPIENT and SANOFI agree that the arrangements set out in this Agreement do not take effect and are not intended to take effect as an incentive or reward for a person’s past, present or future willingness to prescribe, administer, recommend (including formal recommendations), purchase, pay for, reimburse, authorize, approve or supply any product or service sold or provided by SANOFI or as an incentive to grant an interview for any sales or marketing purposes. RECIPIENT warrants, that it will comply with the requirements of all applicable anti-bribery regulations, codes and/or sanctions, both national and foreign, including but not limited to the US Foreign Corrupt Practices Act, the UK Bribery Act and the OECD Convention dated 17th December 1997 (the “Anti-Bribery Laws”) and; therefore that it has not and will not make, promise or offer to make any payment or transfer anything of value (directly or indirectly) to (i) any individual, (ii) corporation, (iii) association, (iv) partnership, or (v) public body, (including but not limited to any officer or employee of any of the foregoing) who, acting in their official capacity or of their own accord, are in a position to influence, secure or retain any business for (and/or provide any financial or other advantage to) SANOFI by improperly performing a function of a public nature or a business activity with the purpose or effect of public or commercial bribery, acceptance of or acquiescence in extortion, kickbacks or other unlawful or improper means of obtaining or retaining business. RECIPIENT will immediately notify SANOFI if, at any time during the term of this Agreement, its circumstances, knowledge or awareness changes such that it would not be able to repeat the warranties set out above at the relevant time. RECIPIENT shall keep detailed and up to date books of the account and records of all acts and payments made by it in relation to this Agreement for a minimum period of seven (7) years and at SANOFI request make them available for inspection. RECIPIENT will ensure that such books of account and records are sufficient to enable SANOFI to verify their compliance with this section of the Agreement. Breach by the RECIPIENT of the terms of this Section will be deemed a material breach of this Agreement and SANOFI may immediately terminate this Agreement at any time, with immediate effect and without any opportunity to remedy the breach by the RECIPIENT, by giving notice in writing to the RECIPIENT. The rights to terminate this Agreement under this Section will be without prejudice to any other right or remedy SANOFI may have accrued up to the date of termination.

  • Anti-Corruption The Recipient shall ensure that the Project is carried out in accordance with the provisions of the Anti-Corruption Guidelines.
