Attendance and Exclusions. Schools and the LA will agree to set local targets and monitor attendance levels in order to meet national targets. In discussion with schools, the LA will set local authority targets and monitor exclusion levels in order to meet national targets. Schools and the LA will work collaboratively to ensure suitable and appropriate alternative provision is provided for pupils Educated Otherwise Than at School (EOTAS) including permanently excluded pupils, those at risk of permanent exclusion, school phobics, and pupils with medical needs. LA School/Governing Body • Monitor attendance rates, analyse trends and share data with schools so that attendance rates can be celebrated or challenged. • Monitor and analyse exclusion rates and discuss this information with schools. • Challenge schools when targets are not met. • Offer support to head teachers on attendance and exclusion matters. • Provide training, advice and support on the correct use of the exclusion process and the promotion of alternative strategies to exclusion, including exclusion strategy meetings and managed moves. • Attend all governors’ meetings where permanent exclusions are discussed. • Promote and manage the agreed Managed Move Policy amongst all secondary schools, as a recognised Welsh Government alternative to permanent exclusions. • Provide advice in instances of permanent and fixed term exclusions, especially on re- integration procedures. • Maintain accurate records of all alternative provision for pupils Educated Otherwise Than At School (EOTAS). • Provide full-time appropriate education for a pupil 15 days after being excluded. • Process exclusion data in line with WG guidelines. • Review and monitor attendance rates on a regular basis. • Ensure that robust procedures and strategies are in place to improve pupil attendance and where required reduce fixed term and permanent exclusions. • Review and monitor exclusion rates on a termly basis. • Respond to the challenge raised by the LA when targets are not met. • Maintain accurate and up to date electronic pupil exclusion records, ensuring compliance with the Data Protection Act 1998 requirements with regard to collection, storage and processing of personal information. • Return exclusion data to the LA thr...

The Investor acknowledges and agrees that none of (i) any other investor pursuant to this Subscription Agreement or any other subscription agreement related to the private placement of the PIPE Securities (including the investor’s respective affiliates or any control persons, officers, directors, employees, partners, agents or representatives of any of the foregoing), (ii) the Placement Agent, its respective affiliates or any control persons, officers, directors, employees, partners, agents or representatives of any of the foregoing, or (iii) any other party to the Transaction Agreement or any Non-Party Affiliate, shall have any liability to the Investor, or to any other investor, pursuant to, arising out of or relating to this Subscription Agreement or any other subscription agreement related to the private placement of the PIPE Securities, the negotiation hereof or thereof or its subject matter, or the transactions contemplated hereby or thereby, including, without limitation, with respect to any action heretofore or hereafter taken or omitted to be taken by any of them in connection with the purchase of the PIPE Securities or with respect to any claim (whether in tort, contract or otherwise) for breach of this Subscription Agreement or in respect of any written or oral representations made or alleged to be made in connection herewith, as expressly provided herein, or for any actual or alleged inaccuracies, misstatements or omissions with respect to any information or materials of any kind furnished by ListCo, ARYA, the Company, the Placement Agent or any Non-Party Affiliate concerning ListCo, ARYA, the Company, the Placement Agent, any of its respective controlled affiliates, this Subscription Agreement or the transactions contemplated hereby. For purposes of this Subscription Agreement, “Non-Party Affiliates” means each former, current or future officer, director, employee, partner, member, manager, direct or indirect equityholder or affiliate of ListCo, ARYA, the Company, the Placement Agent or any of ListCo’s, ARYA’s, the Company’s or the Placement Agent’s respective controlled affiliates or any family member of the foregoing.

In the event of significant trauma following your quarantine related to a context of epidemic or pandemic, we can, at your request, put you in contact with a psychologist by telephone, within the limit indicated in the Schedule of Cover. These sessions are strictly confidential. This listening work is not to be confused with the psychotherapeutic work done by licensed practitioners. Under no circumstances can this service be a substitute for psychotherapy, due to the physical absence of the caller. EMERGENCY SUITCASE In the event that you no longer have enough usable personal effects at your disposal due to your quarantine or your hospitalisation following an epidemic or pandemic, we pay, on presentation of supporting documents, for basic necessities, up to the amount indicated in the Schedule of Cover. DOMESTIC HELP Following your repatriation by us following an illness linked to an epidemic or a pandemic, if you cannot perform your usual household chores, we look for, arrange and pay for domestic help assistance, within the limit indicated in the Schedule of Cover. DELIVERY OF HOUSEHOLD SHOPPING Following your repatriation by us following an illness linked to an epidemic or a pandemic, if you are not able to leave your home, we organize and cover, within the limit of local availability, the costs of delivery of your shopping within the limit set in the Schedule of Cover.
