ASSIGNMENT OF AGENCY. The INTERMEDIARY may not cede its rights or delegate its obligations in terms of this agreement to any person without the prior written consent of GENRIC.

Internal transfer of assets, consolidations, or names changes by the PLP shall not be considered an assignment for purposes of this Base Agreement.

ASSIGNMENT OF AGENCY. Neither this Agreement nor any rights or obligations of any Party heretofore shall be assigned or otherwise transferred by either Party without the prior written consent of the other Party except that it is agreed that either Party may assign this Agreement to the successors or assignees of a substantial portion of the Party’s business interests to which this Agreement directly pertains without prior written consent. In the event of a Party filing for federal bankruptcy protection or an equivalent state process (e.g. assignment for the benefit of creditors) the counter Party shall have the sole election of terminating this Agreement, in whole or in part, and shall communicate such determination to the other Party or their representative and/or assignees.

ASSIGNMENT OF AGENCY. The parties hereto hereby agree and acknowledge that pursuant hereto, Bank One hereby assigns to Wachovia, and Wachovia hereby assumes, all of the right, title and interest of Bank One, in its capacity as Administrative Agent, in, to and under the Credit Agreement and all other Loan Documents. The parties hereto further agree and acknowledge that (a) the provisions of this First Amendment shall be deemed to constitute the resignation of Bank One as administrative agent and otherwise to fulfill the requirements for the selection of a successor administrative agent set forth in Section 10.12 of the Credit Agreement and (b) the execution of this First Amendment shall be deemed to evidence the consent of the Required Lenders and the Company to the substitution of Wachovia as Administrative Agent under the Credit Agreement and the Loan Documents. The parties hereto further agree and acknowledge that, from and after the date hereof, Wachovia shall be, and shall be deemed to be, the Administrative Agent for all purposes under the Credit Agreement and each of the Loan Documents.
ASSIGNMENT OF AGENCY. The Prior Administrative Agent shall have assigned to the Administrative Agent the rights and duties of the Prior Administrative Agent under the Existing Credit Agreement pursuant to an assignment and assumption agreement duly executed by the parties thereto and satisfactory to the Administrative Agent.
