Advanced Functionality. Advanced Functionality will consist of material enhancements made to the Base Functionality or Enhanced Base Functionality that are developed by CreditReportPlus to provide additional features (details and analysis) to the User from information contained in Credit Reports. CreditReportPlus agrees to only implement Advanced Functionality approved in advance by DealerTrack. Only DealerTrack Participating Customers having relationships with Credit Bureau Report Providers authorizing them to access Credit Reports through DealerTrack may access Advanced Functionality. CreditReportPlus will not, at any time, provide more favorable pricing to any Dealer than it offers to DealerTrack Participating Customers for substantially similar Advanced Functionality, directly or indirectly. Such pricing will be evaluated on both a per-Credit Report and total relationship pricing basis for the Dealer receiving the Advanced Functionality. In the event CreditReportPlus agrees to provide pricing to any Dealer for substantially similar Advanced Functionality that is more favorable than pricing offered to any DealerTrack Participating Customers, CreditReportPlus agrees to immediately amend or cause to be amended each CreditReportPlus Customer Agreement to reflect the more favorable pricing going forward, without any other change to be made to such CreditReportPlus Customer Agreements, the DealerTrack Participating Customer's continuing receipt of Advanced Functionality and DealerTrack's performance under this Agreement being deemed the consideration for such amendment and reduced pricing. CreditReportPlus will inform the DealerTrack Participating Customer of the pricing adjustment using a communication mutually approved by DealerTrack and CreditReportPlus. Nothing in Section 2.4 shall prohibit CreditReportPlus from offering CREDCO customers Advanced Functionality at a different or more favorable price than CreditReportPlus offers Advanced Functionality to non-CREDCO customers. CreditReportPlus agrees that DealerTrack Participating Customers that use a CREDCO Subscriber Code will receive Advanced Functionality at the same price as CREDCO customers who are not DealerTrack Participating Customers.
Advanced Functionality. If during the effectiveness of this Agreement or thereafter Cardtronics provides one or more new types of Transaction to sighted patrons at Cardtronics-owned ATMs and/or Merchant-owned ATMs that were not available at those particular ATMs as of the Effective Date, Cardtronics shall provide these same functions to Blind patrons at those ATMs within ninety (90) days, unless Cardtronics advises Counsel in writing that making the function accessible is not technically feasible without causing an undue economic burden or delay. In that event, Cardtronics shall notify Counsel of the particulars of the obstacles that prevent the provision of accessible new functions, and consult with Class Counsel, the Commonwealth and NFB with respect to possible alternatives. The Parties agree to work in good faith pursuant to the terms of the Dispute Resolution provision of this Agreement to reach an agreement as to whether new functions can be provided without undue economic burden or delay. Cardtronics shall encourage vendors to support such new functions through Voice guidance and, once the obstacles are eliminated, Cardtronics shall make such new functions accessible with commercially reasonable dispatch. If and when such new functions are added, the act of accessing any new function at the ATM shall be considered a Transaction. Advanced functionality shall not be deemed to include advertising functions, such as advertisements on the ATM screen that are not part of the usage instructions.

  • Centralized Functions The Bank of New York Mellon Corporation is a global financial organization that provides services to clients through its affiliates and subsidiaries in multiple jurisdictions (the “BNY Mellon Group”). The BNY Mellon Group may centralize functions including audit, accounting, risk, legal, compliance, sales, administration, product communication, relationship management, storage, compilation and analysis of customer-related data, and other functions (the “Centralized Functions”) in one or more affiliates, subsidiaries and third-party service providers. Solely in connection with the Centralized Functions, (i) the Fund consents to the disclosure of and authorizes the Custodian to disclose information regarding the Fund and the Accounts (“Customer-Related Data”) to the BNY Mellon Group and to its third-party service providers who are subject to confidentiality obligations with respect to such information and (ii) the Custodian may store the names and business contact information of the Fund’s employees and representatives on the systems or in the records of the BNY Mellon Group or its service providers. The BNY Mellon Group may aggregate Customer-Related Data with other data collected and/or calculated by the BNY Mellon Group, and notwithstanding anything in this Agreement to the contrary the BNY Mellon Group will own all such aggregated data, provided that the BNY Mellon Group shall not distribute the aggregated data in a format that identifies Customer-Related Data with the Fund. The Fund confirms that it is authorized to consent to the foregoing and that the disclosure and storage of information in connection with the Centralized Functions does not violate any relevant data protection legislation.

  • CUSTOMER SERVICE FUNCTIONS The Servicer shall handle all Customer inquiries and other Customer service matters according to the same procedures it uses to service Customers with respect to its own charges.

The Service Provider shall also communicate to beneficial owners holding through it, and to any brokers or banks for beneficial owners holding through them, as to shares of the Fund, mergers, splits and other reorganization activities, and require any broker or bank to communicate such information to its Customers.

  • Encryption The Fund acknowledges and agrees that encryption may not be available for every communication through the System, or for all data. The Fund agrees that Custodian may deactivate any encryption features at any time, without notice or liability to the Fund, for the purpose of maintaining, repairing or troubleshooting the System or the Software.

  • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Leasing Functions Manager shall coordinate the leasing of the Properties and shall negotiate and use its best efforts to secure executed Leases from qualified tenants, and to execute same on behalf of Owner, if requested, for available space in the Properties, such Leases to be in form and on terms approved by Owner and Manager, and to bring about complete leasing of the Properties. Manager shall be responsible for the hiring of all leasing agents, as necessary for the leasing of the Properties, and to otherwise oversee and manage the leasing process on behalf of Owner.

  • Infrastructure (a) The Borrower has and will maintain a sufficient infrastructure to conduct its business as presently conducted and as contemplated to be conducted following its execution of this Agreement.
