Each Purchaser covenants that until such time as the transactions contemplated by this Agreement and all other non-public information conveyed to such Purchaser by the Company are publicly disclosed by the Company or are otherwise made public, such Purchaser will maintain the confidentiality of all disclosures and information concerning the business and affairs of the Company and its Subsidiaries made to it in connection with the transactions contemplated by this Agreement (including the existence and terms thereof) and will refrain from communicating, disclosing, divulging, revealing or conveying (whether directly or indirectly, orally, in writing or otherwise, voluntarily or involuntarily) to any Person (other than to such Purchaser’s counsel, advisor or representative who need to know such information in connection with the transactions contemplated hereby and are subject to a duty of confidentiality) or using such disclosures or information (whether directly or indirectly, voluntarily or involuntarily) any such disclosures or information in any manner other than for purposes of evaluating and consummating the transactions contemplated hereby.
Confidentiality After The Date Hereof. Lilly covenants that until such time as the transactions contemplated by this Agreement are publicly disclosed by the Company, Xxxxx will maintain the confidentiality of all disclosures made to it in connection with such transactions (including the existence and terms of this transaction), other than to such Person’s outside attorney, accountant, auditor or investment advisor only to the extent necessary to permit evaluation of the investment, and the performance of the necessary or required Tax, accounting, financial, legal, or administrative tasks and services and other than as may be required by law.
Confidentiality After The Date Hereof. Each Purchaser, severally and not jointly with the other Purchasers, covenants that until such time as the transactions contemplated by this Agreement are publicly disclosed by the Company as described in Section 4.6, such Purchaser will maintain the confidentiality of the existence and terms of this transaction and the information included in the Transaction Documents and the Disclosure Schedules. Notwithstanding the foregoing, in the case of a Purchaser that is a multi-managed investment vehicle whereby separate portfolio managers manage separate portions of such Purchaser’s assets and the portfolio managers have no direct knowledge of the investment decisions made by the portfolio managers managing other portions of such Purchaser’s assets, the covenant set forth above shall only apply with respect to the portion of assets managed by the portfolio manager that made the investment decision to purchase the Securities covered by this Agreement.

Intrexon covenants that until such time as the transactions contemplated by this Agreement and such other material non-public information related to the Company in possession of Intrexon are publicly disclosed by the Company as described in Section 4.4, Intrexon will maintain the confidentiality of all non-public information disclosed to it in connection with the transactions contemplated hereby (including the existence and terms of such transactions).

Each Purchaser covenants, severally and not jointly, that until such time as the transactions contemplated by this Agreement are publicly disclosed by PBFX, such Purchaser will maintain the confidentiality of all disclosures made to it in connection with this transaction (including the existence and terms of this transaction).
Confidentiality After The Date Hereof. Subject to Section 4.3 hereof, each of the parties hereto shall, and shall cause their respective employees, directors, officers, owners, advisers and controlled affiliates to, maintain the confidentiality of this Agreement and the transactions contemplated hereby and of all disclosures made to it in connection with the foregoing; provided that First New York and Overstock each shall have the right to disclose this Agreement and the transactions contemplated hereby to any of its investors, partners, directors, officers, advisors and representatives and to include information regarding this Agreement and the transactions contemplated hereby in tax filings.

The Purchaser shall not engage, directly or indirectly, in any transactions in the Company’s securities (other than pursuant to the Transaction Documents or other agreements entered into between Xxxxx and the Company) during the period from the date hereof until the transactions contemplated by this Agreement are first publicly announced as required by and described in Section 4.3.

Each of the Parent and the Purchaser covenants that until such time as the transactions contemplated hereby and by the other Transaction Documents are publicly disclosed pursuant to Section 4.5, each of the Parent and the Purchaser will maintain the confidentiality of all disclosures made to it in connection with the transactions contemplated hereby and by the other Transaction Documents.
