Changes in Licensed Marks. Upon written notice to Licensee, Licensor may, from time to time in its sole discretion, (a) discontinue any Licensed Marks and/or (b) replace any Licensed Marks with or use new or different trademarks or service marks (“New Marks”). Licensor shall notify Licensee of any such discontinuance or replacement. If Licensee desires to use such New Xxxx on the terms set out in this Agreement, (i) it shall notify Licensor, (ii) upon Licensor’s receipt of such notice, such New Marks will be designated as Licensed Marks and, as such, shall be subject to the terms of this Agreement, and (iii) Schedule A shall be deemed amended automatically to include such New Marks as Licensed Marks.

Upon such election, any such New Marks may be designated Licensed Property by Licensor and if designated as such shall be subject to the terms of this Agreement, and Schedule A shall be deemed amended automatically to include such New Marks. In the event Licensor discontinues any Licensed Property or introduces a New Xxxx, Licensee shall have a reasonable period of time, not to exceed six (6) months, to cease use of such discontinued Licensed Property or begin use of such New Xxxx.

Changes in Licensed Marks. Upon written notice to GCG and GCIP, GenTek or GCC may, from time to time in its sole discretion, elect to (i) discontinue any Licensed Xxxx and/or (ii) replace any Licensed Xxxx with or use any new or different trademark or service xxxx ("New Xxxx"). Upon such election, any such New Xxxx shall be designated a part of the Licensed Marks and as such shall be subject to the terms of this Agreement, and Schedule A and/or Schedule D, as the case may be, shall be deemed amended automatically to include such New Xxxx. All uses of the Licensed Marks by GCG Group shall faithfully reproduce the design and appearance of such Licensed Marks, as modified by GenTek or GCC from time to time in its discretion; provided that the GCG Group may continue to use the design and appearance of the Licensed Xxxx as existing prior to any such modification for up to 12 months following the modification thereof by GenTek or GCC.

  • Service Marks BlueShield of Northeastern New York is an independent corporation organized under the New York Insurance Law. BlueShield of Northeastern New York also operates under licenses with the BlueCross BlueShield Association, which licenses BlueShield of Northeastern New York to use the BlueShield service marks in a portion of New York State. BlueShield of Northeastern New York does not act as an agent of the BlueCross BlueShield Association. BlueShield of Northeastern New York is solely responsible for the obligations created under this agreement.

In the event Manager does not exercise such option, Lessee agrees that it will use any such items not so purchased exclusively in connection with the Hotel until they are consumed.

  • Licensed Materials The materials that are the subject of this Agreement are set forth in Appendix A ("Licensed Materials").

  • Customer Content As part of the Services provided under this Agreement, Customer Data will be stored and processed in the data center region specified in the applicable Ordering Document. Axway shall not access Customer Content except in response to support or technical issues where Customer provides Axway with prior Customer’s written authorization required to access such Customer Content. Axway is not responsible for unauthorized access, alteration, theft or destruction of Customer Content arising from Customer’s own or its authorized users’ actions or omissions in contravention of the Documentation. Customer’s ability to recover any lost data resulting from Axway’s misconduct is limited to restoration by Axway from the most recent back-up.
