Any Confidential Information that Consultant accesses or develops in connection with the Services, including but not limited to any Work Product, shall be subject to the terms and conditions of this clause.
Any patent application for or application for registration of any Intellectual Property Rights in any Work Product that Consultant may file during the Term or thereafter will belong to the Company, and Consultant hereby irrevocably assigns to the Company, for no additional consideration, Consultant’s entire right, title, and interest in and to such application, all Intellectual Property Rights disclosed or claimed therein, and any patent or registration issuing or resulting therefrom.
Purchaser may only withhold consent if the proposed Pre-Closing Substation Work is demonstrably unnecessary or not beneficial to the operation, maintenance, or value of the Substation, as supported by written evidence from a mutually agreed upon and qualified third-party engineer or industry expert.
Under the Evaluation Program, the Parties will undertake the work described in the Work Plans.
Within thirty (30) days after the completion of the Evaluation Program, the Parties will prepare a written report (“Program Report”) describing the results and data generated in performance of the Evaluation Program, as indicated by the deliverables described in the Work Plan.
