Notwithstanding the above, this Section shall not be applicable until the completion of Tenant’s Work.
Landlord shall represent and warranty that once all Landlord’s Base Building Work is completed, the non-auto portion of the Building shall either be free of hazardous materials, or any remaining hazardous materials shall be properly encapsulated, in full accordance with applicable Codes and Standards for the remediation of hazardous material.
Provided that an Event of Default is not then continuing hereunder, disbursements of the Allowance by Sublandlord shall be made in amounts equal, in each case, to ninety percent (90%) of the amount of the Subtenant Requisition until the Allowance is fully applied and consumed (it being agreed that the amounts retained by Sublandlord shall be paid to Subtenant upon completion of Subtenant’s Work in compliance with this Sublease and the Prime Lease).
For the purposes of this Section, “soft costs” shall mean Subtenant’s actual out-of-pocket costs for architectural and engineering services and filing fees in connection with Subtenant’s Work; provided, however, that “soft costs” shall not include, and no portion of the Allowance shall be allocated to, the costs of procuring furniture or furnishing and/or moving into the Subleased Premises.
At such time as Sublandlord’s Work is Substantially Complete, Subtenant and Sublandlord shall conduct a joint inspection of the Subleased Premises at a time reasonably acceptable to Sublandlord and Subtenant to confirm that the Sublandlord’s Work is Substantially Complete and to agree upon Punch List Items.
