Consultant will cooperate fully with the Company, both during and after his or her engagement with the Company, with respect to the procurement, maintenance and enforcement of Intellectual Property Rights related to the Works.
However, to the extent that any court or agency should conclude that the Works (or any of them) do not constitute or qualify as a “work made for hire”, the Participant hereby assigns, grants, and delivers exclusively and throughout the world to the Company all rights, titles and interests in and to any such Works, and all copies and versions, including all copyrights and renewals.
The Participant’s work on and contributions to the Works will be rendered and made by the Participant for, at the instigation of, and under the overall direction of the Company, and are and at all times shall be regarded, together with the Works, as “work made for hire” as that term is used in the United States Copyright Laws.
The Executive acknowledges and agrees that except as otherwise set forth in this Agreement, all remaining terms and conditions of the Executive’s employment shall be in accordance with and subject to the Company’s Agreement to Arbitrate Disputes, Confidential Information, Invention and Original Works Assignment Agreement, and current Employee Handbook which describes the Executive’s responsibilities as well as numerous benefits to which the Executive may be entitled.
If any Works (or any Intellectual Property Right in or related to such Works or that claim or cover such Works) do not qualify for treatment as “works made for hire,” or if Consultant retains any interest therein for any other reason, Consultant hereby assigns and transfers, and will assign and transfer, to the Company all ownership and interest in such Works and any and all Intellectual Property Rights in and to such Works or that claim or cover any such Works.
