The Parties shall utilize the procedures set forth in Section 8.15(b) to resolve any matters as to which the TSA Committee is not able to reach a decision.
Notwithstanding the requirements of Section 8.10, any Routine Communication shall be delivered via e-mail (with confirmation of receipt requested and received) to the members of the TSA Committee appointed by the relevant Party or Parties.
In the event that the relevant members of the TSA Committee fail to meet, or if they meet and fail to resolve a Dispute within twenty (20) business days, then either Party involved in such Dispute may pursue the remedy set forth in Section 8.15(b).
Each of UTC, Carrier and Otis may replace any member of the TSA Committee appointed by such Party at any time upon notice to the other Parties in accordance with Section 8.10.

In the event that the Provider is still providing Transition Services to the Recipient one hundred twenty (120) days before the end of the Term of such Transition Services, the TSA Committee shall meet promptly in order to discuss and develop an approach to ensure the Recipient’s migration off of such Transition Services as soon as possible, and in no event later than the end of the Term of such Transition Services.
The terms of reference of the TSA Committee shall be as set forth in Schedule 4.
No decision of the TSA Committee may be made without at least one (1) Transition Service Representative from each Party being present at a meeting.
For the avoidance of doubt, the TSA Committee shall not have the right to amend this Agreement in any manner.
The TSA Committee shall be composed of at least two (2) representatives of each of US OPS and Purchaser and shall meet at least once per month during the term of this Agreement.
