Specified Participant definition

Specified Participant means a Participant who, as of the date of his or her Termination of Service, is a key employee of the Company. For this purpose, a Participant shall be deemed to be a “key employee” of the Company if he or she meets the requirements of section 416(i)(1)(A)(i), (ii) or (iii) of the Code (applied in accordance with the regulations thereunder and disregarding section 416(i)(5) of the Code) at any time during the 12-month period ending on September 30 (the “Identification Date”). In this connection, the definition of compensation under Treasury regulation section 1.415(c)-2(a) will be used, applied as if no safe harbor provided in Treasury regulation section 1.415(c)-2(d) were used, no elective special timing rules provided in Treasury regulation section 1.415(c)-2(e) were used, and no elective special rules provided in Treasury regulation section 1.415(c)-2(g) were used. If a Participant is a key employee of the Company as of any Identification Date, then he or she will be treated as such for the entire 12-month period beginning on the first day of the fourth month following the Identification Date.

Specified Participant means a Participant who is a key employee (as defined in section 416(i) of the Code without regard to paragraph (5) thereof) of the Company. For this purpose, a Participant shall be deemed to be a “key employee” of the Company during a Plan Year if he or she met the requirements of section 416(i)(1)(A)(i), (ii) or (iii) of the Code (applied in accordance with the regulations thereunder and disregarding section 416(i)(5) of the Code) at any time during the 12-month period ending on September 30 immediately preceding such Plan Year.

Specified Participant as defined in subsection 12.6(b).

Examples of Specified Participant in a sentence

• This ICS Admission Agreement shall apply only in relation to the participation in the ICS established under the Specified Participant ID and, accordingly, shall not be applicable as regards any other participation in the ICS already established or subsequently established by the Participant (in respect of which the Participant has entered into, or will enter into, a different ICS Admission Agreement).

• The Participant will be admitted as an ICS participant under such participant category or participant categories as are listed for the time being as enabled against the Participant's name and its Specified Participant ID in the ICS Participant Database.

• The ICS Operator may accept any such offer by including the Participant's full trading name and its Specified Participant ID in the ICS Participant Database in respect of such participant category or participant categories.

• Each Participant further acknowledges and agrees that a Participant's Performance Share Units shall be cancelled and forfeited without payment by the Company if such Participant is determined to be a Specified Participant with respect to any financial reporting period covering a period within the Performance Period.

• The ICS Operator may accept any such offer by including the Participant's name and its Specified Participant ID in the ICS Participant Database in respect of such participant category or participant categories.

More Definitions of Specified Participant

Specified Participant means a Participant described in Code Section 416(i) without regard to paragraph (5) thereof.

Specified Participant means (i) any officer, director or manager of the Company or any of its affiliates or consultants to the Company or its affiliates, and (ii) any Participant who is a resident of any state other than California.

Specified Participant means a Participant who entered into a Letter Agreement and is designated as (x) an “Executive” in the Merger Agreement or (y) a “Specified Employee” by the Compensation Committee in the resolutions dated on or about January 25, 2016.

Specified Participant shall be the collective reference to the Company and at any time prior to the expiration of the Warranty Period, Alcatel.

Specified Participant means a “specified employee” of AutoZone, Inc. within the meaning given such term under Code Section 409A (and Treas. Reg. §1.409A-1(i)).

Specified Participant means any current or former director or officer of the Company or any of its Subsidiaries, or any other employee of the Company or any of its Subsidiaries who reports directly to the Company’s President and Chief Operating Officer.
