Service to Other Clients definition

Service to Other Clients. Advisor performs investment management services for other clients with various investment objectives and policies. Client acknowledges that Advisor may give advice and take action with respect to such clients, which may differ from advice given, or the timing or nature of action taken, with respect to the Account. Client further acknowledges that Advisor shall have no obligation to purchase or sell for the Account, nor to recommend for purchase or sale by the Account, any security or other investment that Advisor, its principals, affiliates or employees may purchase or sell for its or their own accounts or any other client accounts. Proxies: Client hereby designates Advisor to vote all proxies for securities held in the Account in accordance with Advisor’s written proxy voting policy.

  • Service Relationship means any relationship as a full-time employee, part-time employee, director or other key person (including Consultants) of the Company or any Subsidiary or any successor entity (e.g., a Service Relationship shall be deemed to continue without interruption in the event an individual’s status changes from full-time employee to part-time employee or Consultant).

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Transmission Service Provider means the entity that administers the transmission tariff and provides transmission service to transmission customers under applicable transmission service agreements.

  • Service Providers has the meaning set out in Section 9(e).

  • 911 Service means a universal telephone number which gives the public direct access to the Public Safety Answering Point (“PSAP”). Basic 911 service collects 911 calls from one or more local exchange switches that serve a geographic area. The calls are then sent to the correct authority designated to receive such calls.

  • Service Interruption means, in relation to the supply of electricity to an ICP the cessation of supply to that ICP for a period exceeding the time allowed for interruptions in the relevant Service Standard, other than in accordance with this agreement;

  • The Service Provider means the organization or firm providing the services under this Contract.

  • Telecommunications service provider means that term as defined in Section 219a of the Michigan Penal Code, supra, as may be amended from time to time. As of January 2012, "Telecommunications Service Provider" is defined to mean any of the following:

  • Information Service Traffic means Local Traffic or IntraLATA Toll Traffic which originates on a Telephone Exchange Service line and which is addressed to an information service provided over a Party's information services platform (e.g., 976).

  • Service Hours means the amount of time (measured in hours or fractions thereof) a Unit is Delivering Energy or Ancillary Services pursuant to a Dispatch Notice.

  • Internet Service Provider (ISP) means an Enhanced Service Provider (ESP) that provides Internet Services.

  • Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

  • Personal Services means “the performance of any work or labor and shall also include acting as an independent contractor or providing any consulting advice or assistance, or otherwise acting as an agent pursuant to a contractual relationship.”

  • Service Outage means an instance when the Customer is unable to route traffic to one or more Customer Sites via the Network, which results in Service Downtime;

  • Service Type means the customer class, partial customer class and/or group of customer classes, as set forth in a Transaction Confirmation.
