Seller Excuse Hours definition

Seller Excuse Hours means those hours during which Seller is unable to deliver Delivered Energy to Buyer as a result of (a) a Force Majeure event, (b) Buyer’s failure to perform, or (c) Curtailment Period.
Seller Excuse Hours means those hours during which Seller is unable to deliver Product to Buyer as a result of (a) a Force Majeure event or (b) Buyer’s failure to perform.
Seller Excuse Hours means those hours during which Seller is unable to schedule or deliver Delivered Energy to Buyer as a result of (a) a Force Majeure event, (b) Buyer’s failure to perform, (c) Curtailment Period or (d) Buyer Curtailment Period; provided that, in the case of a Buyer Curtailment Period, for each hour in which less than 100% of the Project output is curtailed, the Seller Excuse Hours will increase by the product of (x) one hour multiplied by (y), where (y) is the ratio of (i) Deemed Delivered Energy associated with that hour to (ii) the sum of Deemed Delivered Energy associated with that hour plus Delivered Energy associated with that hour.

Examples of Seller Excuse Hours in a sentence

  • Seller shall be excused from achieving the Guaranteed Energy Production during Seller Excuse Hours, as provided in Section 12.1.

  • For Seller selling As-Available Product, Seller shall be excused from achieving the Guaranteed Energy Production only for the applicable time period during Seller Excuse Hours.

  • For Seller selling Baseload Product, Seller shall be excused from achieving the Guaranteed Energy Production and the Capacity Factor only for the applicable time period during Seller Excuse Hours.

  • Seller may cure the GEP Failure by providing to Buyer an amount of Delivered Energy plus Deemed Delivered Energy, if any, that is no less than ninety percent (90%) of the Contract Quantity, subject to adjustment for Seller Excuse Hours over the next following Contract Year, as set forth in the formula below (“GEP Cure”).

  • GEP Cure = (90% × Contract Quantity in MWh) × [(Hrs in next following Contract Year – Seller Excuse Hrs in next following Contract Year) / Hrs in next following Contract Year] If Seller fails to provide sufficient Delivered Energy plus Deemed Delivered Energy, if any, as adjusted by Seller Excuse Hours, to qualify for the GEP Cure for a given Performance Measurement Period, Seller shall pay GEP Damages, calculated pursuant to Appendix V (“GEP Damages Calculation”).


More Definitions of Seller Excuse Hours

Seller Excuse Hours means the hours Seller is unable to generate or deliver Energy due to Seller Excuses.
Seller Excuse Hours means those hours during which Seller is unable to Schedule or deliver Delivered Energy to the Delivery Point as a result of (a) a Force Majeure event, (b) Buyer’s failure to perform or (c) Dispatch Down Period.
Seller Excuse Hours means those hours during which Seller is unable to schedule or deliver Delivered Energy to Buyer as a result of (a) a Force Majeure event,
Seller Excuse Hours means, for a given Unit, those hours during which Seller is unable to make available all of the Contract Capacity of the Unit or to dispatch the Unit at Buyer’s or CAISO’s instructions as a result of (a) a Planned Outage event directly affecting that Unit to the extent that Seller has not exceeded the number of excused Planned Outage hours specified in Section 3.7(b) for the Unit, (b) Buyer’s failure to comply with or perform any material covenant or obligation in this Agreement, (c) a Curtailment Order directly affecting the Unit, or (d) an Instructed Operation directly affecting the Unit.
Seller Excuse Hours means those hours during which Seller is unable to schedule or deliver Renewable Energy to Buyer as a result of (a) Compensable Curtailments; (b) Non- Compensable Curtailments; (c) Force Majeure; (d) curtailment mandated by the Transmission Authority, (e) curtailment due to safety and/or scheduled maintenance; and/or (f) Buyer’s failure to perform or any other action or inaction of Buyer that is inconsistent with its obligations under this PPA and prevents Seller’s performance.
Seller Excuse Hours means those hours during which Seller is unable to schedule or deliver Renewable Energy to Company as a result of (A) Compensable Curtailments (see, Section 8.3(B)(1), (B) Non-Compensable Curtailments (see, Section 8.3(B)(2), except of subparts (vi) and (viii); (C) Force Majeure; or (E) Company’s failure to perform.
